CORPORATE PARALEGAL

Chicago, IL | 100% On-Site | $90,000-$115,000 DOE

A well-established law firm is seeking an experienced Corporate Paralegal to join its team and work directly with attorneys on sophisticated M&A, private equity, venture capital, corporate finance, and general corporate matters.

This is an excellent opportunity for a proactive, highly organized paralegal who can manage multiple transactions, coordinate complex closings, and take ownership of paralegal responsibilities with limited day-to-day supervision.

Key Responsibilities

M&A & Transactional Support

  • Manage paralegal aspects of M&A, private equity, venture capital, corporate finance, and general corporate transactions.
  • Maintain closing checklists, transaction timelines, deliverables, and post-closing requirements.
  • Prepare and circulate signature packets and track execution and outstanding closing items.
  • Coordinate due diligence and virtual data rooms.
  • Order good standing, lien, litigation, and tax lien searches.
  • Prepare and coordinate UCC-1, UCC-3, amendments, continuations, and termination filings.
  • Coordinate pre- and post-closing filings and prepare closing sets.
  • Communicate with attorneys, clients, opposing counsel, and third-party vendors regarding transaction logistics.

Entity Formation & Corporate Governance

  • Form, qualify, maintain, amend, and dissolve corporations, LLCs, LPs, and other business entities.
  • Prepare organizational documents, including bylaws, operating agreements, consents, and related materials.
  • Maintain corporate records, minute books, capitalization records, and compliance documents.
  • Assist with board and stockholder consents, meeting materials, certifications, and annual filings.
  • Prepare and maintain stock certificates and equity documentation.

Filings & Practice Support

  • Prepare SS-4, Form 8832, and 83(b) election filings as needed.
  • Conduct entity name availability searches and coordinate certificates and organizational documents.
  • Conduct factual and legal research at the direction of attorneys.
  • Track deadlines and maintain organized matter files and transaction documents.
  • Provide occasional support for real estate transactions, including title and survey requests.
Qualifications

  • 3+ years of corporate paralegal experience, with meaningful M&A or transactional experience.
  • Prior law firm experience preferred.
  • Knowledge of corporate governance, entity maintenance, and transactional documentation.
  • Excellent organizational, communication, and time-management skills.
  • Ability to manage multiple active matters and confidential information.
  • Proficiency with Microsoft Office and legal research/document-management systems.
  • Bachelor's degree or equivalent experience; paralegal certificate preferred.
Preferred Experience

  • Carta or similar equity management platforms.
  • Form D and state Blue Sky filings.
  • Equity issuances, stock options/incentive plans, and capitalization records.
  • Venture capital/startup corporate work or private equity transactions.
