Full Job Description
Katten, a global Am Law 100 law firm, seeks one or more highly qualified associates to join its Capital Markets & Public Companies Practice Group within the Corporate Department based in New York, Dallas or Miami.

Candidates must have at least 2-4 years of public securities and general corporate work experience at a nationally recognized law firm. Candidates should have specific experience:
  • Representing public and private companies, investment banks and/or investors with respect to securities offerings, 1934 Exchange Act reporting and compliance, and corporate governance.
  • Drafting and participating in negotiation of key legal documents for corporate and securities transactions, such as registration statements and offering memoranda, registration rights agreements, and stock purchase and subscription agreements.
  • Experience working on matters/transactions involving non-U.S. companies and/or strategic transactions for public companies (e.g., mergers and "going private" transactions) a plus.


Excellent academic credentials, strong drafting, analytical and writing skills, and a client-team focused approach is a must. Qualified applicants should include a resume and copy of law school transcript with their application.

The estimated salary range for this role is $235,000 - $440,000. Salary determinations are based on numerous factors, such as, but not limited to class and graduation year, job history, and experience within the desired practice area of the selected candidate.
