Associate Corporate CounselPOSITION OVERVIEWBio World Merchandising, Inc. is seeking an Associate Corporate Counsel to provide practical, business-focused legal support across licensing, commercial, intellectual property, corporate, employment, insurance, compliance, and dispute-resolution matters. This attorney will draft and negotiate agreements, advise business teams, coordinate with outside counsel, and strengthen legal processes and contract management. The ideal candidate combines strong commercial contracting skills, sound judgment, and the ability to balance legal risk with business objectives in a fast-paced, international consumer-products environment.
ESSENTIAL DUTIES- Draft, review, negotiate, and interpret merchandise license agreements, amendments, nondisclosure agreements, vendor and service agreements, software agreements, staffing and consulting agreements, leases, and other commercial contracts.
- Advise Licensing, Finance, Human Resources, Sales, Creative, Product Development, Sourcing, Operations, and executive leadership on contractual obligations, legal risks, and business alternatives.
- Review intellectual-property rights, royalties, minimum guarantees, distribution rights, exclusivity, indemnification, insurance, confidentiality, data security, audit rights, termination, and compliance provisions.
- Manage the contract lifecycle from intake and negotiation through internal approval, execution, implementation, renewal, and termination.
- Support domestic and international trademark and IP matters, including clearance, prosecution, portfolio management, enforcement, oppositions, and outside-counsel coordination.
- Advise on advertising, marketing, product development, copyright, trademark, patent, and right-of-publicity issues involving licensed and proprietary products.
- Support corporate governance, entity management, intercompany matters, acquisitions, due diligence, and domestic and international filings.
- Coordinate litigation, threatened claims, regulatory inquiries, privacy complaints, employment matters, and commercial disputes with outside counsel and stakeholders.
- Advise on product safety, consumer protection, labeling, supplier compliance, privacy, and other regulatory requirements.
- Review insurance and indemnification requirements and assist with claims, coverage matters, brokers, carriers, and outside counsel.
- Support HR on employment agreements, staffing arrangements, investigations, policies, and employment-related claims.
- Prepare legal analyses, contract summaries, risk assessments, settlement recommendations, and executive updates.
- Select and supervise outside counsel, including scope, strategy, budgets, and invoices.
- Improve legal templates, policies, playbooks, training, contract-lifecycle-management systems, and legal operations.
- Monitor relevant legal and regulatory developments and communicate practical guidance to business teams.
QUALIFICATIONSREQUIRED QUALIFICATIONS- Active membership in good standing with at least one U.S. state bar and eligibility to practice as in-house counsel in Texas.
- 2-5 years of relevant legal experience in a law firm, corporate legal department, or both.
- Meaningful experience drafting and negotiating commercial contracts and identifying legal and business risks.
- Excellent legal research, writing, drafting, negotiation, and analytical skills.
- Ability to manage multiple matters and deadlines independently, exercise sound judgment and discretion, and maintain confidentiality.
- Ability to collaborate with business professionals at all levels.
PREFERRED QUALIFICATIONS- Experience in licensing, consumer products, retail, apparel, entertainment, manufacturing, or intellectual property.
- Experience with merchandise licensing agreements and royalty-based arrangements.
- Familiarity with trademarks, product safety, privacy, employment, insurance, or litigation management.
- Experience with international affiliates, counterparties, or legal requirements.
- Familiarity with contract-lifecycle systems, e-signature platforms, and AI-supported legal research or contract analysis.
