Job Description:

What is the opportunity?
As an Associate Counsel, Americas Commercial, you will be responsible for supporting the Americas Deal Management and Sales Teams to ensure that all agreements are drafted and negotiated in accordance with company policies and legal requirements. This person will work with their Americas colleagues, the global Omnissa Legal Team, and stakeholders across the rest of the company to understand key issues and challenges in the commercial space, as well as stakeholder requirements, that impact the company’s agreements, in support of achieving the company’s strategic goals and objectives. Here is a breakdown:

  • Drafting, reviewing and negotiating agreements with customers (including but not limited to licensing of entitlements to on-premises software and cloud-hosted services, as well as consulting and professional services agreements) in coordination with the Omnissa Deal Management Team and other internal stakeholders as needed.
  • Proactively providing legal advice and support to the Deal Management and Sales teams with regard to customer requests for modification to Omnissa standard terms, and deal-related questions, using sound independent judgment to resolve routine matters and escalating novel or higher-risk issues to senior counsel as appropriate.
  • As required, provide guidance and support to internal stakeholders on sales contract-related matters, including interpretation of contract terms, addressing customer concerns, and resolution of disputes.

What will you bring to Omnissa?

  • Qualified to practice law in a US jurisdiction.
  • Minimum 2 years of experience negotiating software and cloud services licensing agreements, and related professional services agreements at a B2B company. In-house experience in a United States-based technology company preferred but not required.
  • Excellent drafting and negotiation skills with the ability to communicate complex legal and commercial concepts clearly and concisely.
  • Ability to identify and mitigate legal and business risks and provide practical solutions to complex issues to support Omnissa corporate strategies.
  • Ability to work effectively in a fast-paced environment and manage multiple priorities with attention to detail.
  • Collaborative mindset with the ability to work cross-functionally and build strong relationships with internal and external stakeholders.
  • Bonus points if you have experience using AI tools in your daily legal work.

Location:United States with preference in Mountain View, CA

Travel Expectations: <5%
Education: Juris Doctor, preferred, or equivalent combination of education and relevant professional experience.

The typical base salary for this role is between USD $98,250-$174,650 per year and it may be eligible for participation in a corporate bonus program. Actual compensation offer may vary from posted hiring range based upon geographic location, work experience, education, skill level, or other relevant factors.
