Full Job Description
Kirton McConkie seeks a corporate associate with at least three years of transactional experience to join its growing Boise office. The associate will work directly with experienced lawyers on sophisticated business, finance, and real estate matters. The position offers substantive drafting and transaction-management responsibility, direct client contact and partner mentorship, with responsibility increasing based on experience and demonstrated ability.

Responsibilities
• Represent buyers and sellers in mergers and acquisitions and related transactions.
• Draft and negotiate commercial agreements and principal and ancillary transaction documents.
• Advise clients regarding entity selection, formation, governance, reorganizations, and general corporate matters.
• Assist with corporate finance, private equity, tax-sensitive deal structures, real estate investment entities, and real estate-secured financings.
• Manage due diligence and closing processes, coordinate with other professionals, and communicate directly with clients and counterparties.

Qualifications
• At least three years of meaningful corporate or transactional experience in a law firm or comparable professional setting.
• Substantial experience in one or more of the following areas: mergers and acquisitions, commercial agreements, corporate finance, private equity, or general corporate representation. Experience in transactional tax or commercial real estate matters is helpful but not required.
• Excellent drafting, analytical, organizational, and client-communication skills, together with sound professional judgment and attention to detail.
• Ability to take ownership of assignments, manage competing deadlines, and collaborate effectively with the transaction team.
• Strong academic credentials and demonstrated professional achievement.
• Admission in good standing to the Idaho State Bar, or eligibility and willingness to obtain prompt admission.
