Responsibilities

  • Lead the management of new incorporations and regulatory filings for group entities, primarily in the US and Canada.
  • Ensure compliance with statutory obligations and maintain up-to-date entity records and organization charts.
  • Coordinate board appointments, resignations, and other officer changes across entities.
  • Manage annual maintenance and renewals for the entity portfolio.
  • Oversee governance tasks for acquired entities, including integration and compliance with governance obligations.
  • Support the Board and committee operations, preparing necessary documentation and maintaining records.
  • Administer the share registry, including coordinating share issuances and regulatory submissions.

Job description

The Assistant Company Secretary reports to the Deputy Company Secretary. The role leads the company secretarial and entity governance workstream supporting IREN's development activity in the United States and Canada, owns the governance and integration of entities and is responsible for the management of the Company's share registry.
As IREN continues to grow through development and acquisition, the Company Secretariat (CoSec) team plays a central role in ensuring that IREN's Board, committees and group entities operate to the highest standards of corporate governance.
This is a hands-on role suited to an experienced governance professional who is comfortable operating across multiple jurisdictions, managing a high volume of entity and filing activity, and working closely with the Board, senior management counsel and external service.

Job requirements

  • Tertiary qualification in law, business, commerce or a related discipline; a governance qualification or admission as an attorney is highly regarded.
  • Minimum 5 years' company secretarial or corporate governance experience in a listed company environment, with direct exposure to US reporting and governance requirements.
  • Demonstrated experience managing multi-jurisdictional entity portfolios, including incorporations, statutory registers, annual maintenance and regulatory filings across the US and Canada; Australian and European entity experience is an advantage.
  • Working Sound knowledge of and experience with governance obligations for US listed entities, including share registry operations and equity compensation administration, including and Section 16 filings.
  • Experience supporting the integration of acquired entities into a listed group's governance framework.
  • Proficiency with board portal and entity management platforms (Diligent and Kube or equivalent) and confidence overseeing governance systems and their data integrity.
  • Excellent minute-taking, drafting and document management skills, with strong attention to detail and the ability to manage competing deadlines across time zones.
  • High levels of discretion, integrity and professional judgement, with the ability to build effective relationships with directors, executives, overseas counsel and service providers.


Job responsibilities

Development and BAU Entity Governance (US and Canada primary; Australia and Europe support)
  • Manage incorporations, registrations and the establishment of new group entities to support IREN's development pipeline in the United States and Canada.
  • Maintain statutory registers and ensure timely regulatory filings and compliance with local regulatory obligations for group entities.
  • Maintain the group corporate structure, including group organisation charts and entity records.
  • Coordinate director appointments, resignations and officer changes across group entities.
  • Manage annual reviews, renewals and ongoing maintenance for all entities within the portfolio.
  • Act as the day-to-day liaison with overseas counsel on entity administration, filings and governance matters.
Acquisition Governance and Integration
  • Own the governance of acquired entities and its subsidiaries following acquisition, including oversight of governance obligations, meetings, papers, resolutions and statutory compliance.
  • Lead the integration of acquired entities into IREN's governance framework, systems and reporting cycles, in coordination with Legal, Finance, Tax and the business.
  • Support the integration of other newly acquired entities as required.
Share Registry Management
  • Manage the Company's share registry.
  • Coordinate share issuances, licence applications and regulatory lodgements, including ASIC lodgements where applicable.
Board and Committee Operations
  • Support the Board and committee meeting cycle, including forward agendas and annual work plans.
  • Coordinate the preparation, review and distribution of Board and committee papers via Diligent.
  • Prepare minutes, circular resolutions and written consents and maintain the record of Board and committee decisions.
Governance Systems and Platforms
  • Oversee the administration and data integrity of the Company's governance platforms, including Computershare, Diligent and Kube.
Reporting and Disclosures
  • Prepare director disclosures for the financial statements and Proxy Statement.
  • Manage the annual D&O questionnaire process and consolidate responses.
  • Prepare and lodge regulatory filings and lodgements arising from share issuances and corporate actions.
General
  • Contribute to the development of CoSec precedents, templates and the governance knowledge system.
  • Provide back-up and support to the other Assistant Company Secretary and the wider CoSec and Legal teams as required.

Other important requirements
  • Pre-employment screening, including background check, may be required according to company policies.
  • Must be based in, or willing to relocate to, one of the nominated locations and able to attend the office as required under a hybrid arrangement.
  • Some flexibility in working hours is required to accommodate Board and committee meeting cycles and collaboration with colleagues in Australia and Europe.
