About the Opportunity

This is an open position with FirstEnergy Service Co., a subsidiary of FirstEnergy Corp.

This position is located ON-SITE at the FirstEnergy Corp Headquarters in Akron, OH.

The Sr. Business Analyst - Corporate Secretary is a trusted advisor to company executives and Board of Directors and possesses a customer-centric focus, capable of ensuring compliance and confidentiality in all areas of responsibilities. The position includes responsibilities in the following areas: Board of Director compensation, insider trading, Section 16 reporting, parent and subsidiary related functions, shareholder services, certain regulatory filings and compliance with certain Securities and Exchange Commission (SEC), New York Stock Exchange (NYSE) Listed Company Manual regulations, federal, state and laws, rules, and regulations. The position has responsibilities to lead projects related to corporate governance, such as support relating to Board and Board Corporate Governance Committee matters, proxy statement/Annual Meeting of Shareholders and certain shareholder related matters.

The position is located at the corporate office in Akron, Ohio, and reports to the Assistant Corporate Secretary.
Responsibilities include:
  • Performing all responsibilities in connection with stock-based equity compensation programs for Directors, including thoroughly understanding and applying the plan related documents, 10b5-1 plan administration, coordinating releases and payouts, dividends, regular equity related reporting, cost basis, communications, service level agreements, share ownership guidelines reporting, and working closely with the external vendor to ensure accuracy in the record-keeping database
  • Developing in-depth knowledge and understanding of SEC Section 16 related requirements regarding insider stock trading and researching activities for SEC Section 16 compliance. Ensuring accurate and timely SEC Section 16 related requirements and filings, including the completion of EDGAR codes, Forms 3, 4, and 5, and Form 144
  • Leading and performing activities surrounding the analysis and coordination of executive and Director stock trading compliance activities, including pre-clearance, trading windows, trading inhibits, compliance with the Insider Trading Policy, responding to employee and Director questions, and working with outside vendors to ensure compliance
  • Leading and performing activities to ensure compliance with the NYSE rules and regulations, including CEO Certifications and Written Affirmations, dividend declarations, officer and Director changes and shares outstanding notifications
  • Leading and performing responsibilities relating to the administration of compensation paid to outside directors, including understanding and applying the plan related documents, the processing of payments, working with outside vendors for the issuance and tracking of shares, providing system verifications and analyses, communications, elections, and completing IRS Forms 1099
  • Performing and leading certain reporting related to the responsibilities included in this Summary as required for certain SEC disclosure documents, such as the Forms 10-K and 10-Q, proxy statement and annual report to shareholders
  • Performing and leading activities relating to registration statements, including the tracking and maintaining of forecasts, budgets, and reports of shares used and available under such statements for plan, S-8 and NYSE purposes
  • Assisting with responsibilities relating to parent and subsidiary boards, including the drafting and researching of resolutions and minutes
    Developing effective working relationships with Board of Directors and employees at all levels of the company
  • Conducting business-specific research, analyzing data, interpreting results, and performing implementation activities
  • Mastering responsibilities to provide sound and responsive service to employees, retirees, and Directors
    Internally partner with other internal departments including Accounting, Financial Reporting, Tax,Payroll, Internal Auditing, Treasury, Human Resources, Investor Relations and Communications
  • Ensuring work products related to responsibilities included are accurate and completed timely.
    Creating an environment of accountability and a sense of urgency for meeting agreed-upon expectations and deadlines
  • Maintaining and managing vendor relationships and associated contracts
    Identifying, troubleshooting, and resolving problems on projects and processes before they become major issues
  • Continually seeking opportunities to increase customer satisfaction and broaden/deepen relationships
    Anticipating customers' needs and proposing alternative solutions when necessary
  • Providing support relating to the Annual Meeting of Shareholders
  • Supporting certain activities surrounding the proxy statement
  • Assisting with Corporate Governance related research
  • Actively seeking and sharing own knowledge of industry trends, etc. that affect FirstEnergy
  • Providing back-up support for other department functions due to vacations, etc., such as related person transaction review and director independence review


Qualifications
  • Bachelor's degree in Business or related discipline is required.
  • Minimum 10 years' related work experience is required.
  • Related work experience includes corporate governance, compensation, and regulatory filings.
  • Proficient in Microsoft Office applications (Word, Excel, Access
