Job Description

We are currently seeking a Contracts Manager to join our Global Legal function Reporting to the Corporate Counsel of the Americas, you'll be providing timely and flexible commercial transaction support across a range of areas of law (including Contract/Commercial, IP/IT, Data Protection and AI). You will be a trusted partner to our commercial colleagues guiding commercial transactions while managing legal risk and ensuring regulatory compliance.

This is an exciting opportunity to join a close-knit team, helping to advise on challenging, strategically important deals with a wide range of customers including start-ups, blue chips, financial institutions and internationally based household names, within a supportive and collegiate environment. You will have solid experience of drafting and negotiating commercial contracts and exposure to various global data protection laws.

What you will be doing:
  • Guiding the business to maximize the revenue streams and profitability opportunities by pro-actively negotiating favorable terms & conditions of high value contracts in compliance with internal and external controls.
  • Reviewing and negotiating Terms & Conditions, MSAs, SaaS Agreements, DPAs, RFPs and other types of agreements, providing advice and solutions in relation to a wide range of related issues.
  • Be involved in contractual negotiations, including reviews of data processing agreements and aiding data compliance projects across the business.
  • Working with business stakeholders to ensure contractual obligations can be met.
  • Guiding the commercial teams with contract review and RFP responses.
  • Assisting with legal training and development as identified to support the SHL business and the team, including providing support to junior legal team members.
  • Helping with and undertaking ad hoc projects as required.
  • Partnering closely with Revenue Recognition, Finance, Sales, Product, Infosec and Compliance teams to ensure seamless contract execution and risk management.


What are we looking for from you:
  • At least 3 years' experience of contracts management, paralegal, or other comparable experience within a law firm or legal department.
  • Knowledge of how to negotiate agreements and issue-spot delicate legal and business concerns including alignment with SHL's business principles and a strong sense of when to escalate such matters internally.
  • Excellent time management techniques and experience to take care of competing priorities while ensuring timely completion and follow up.
  • Strong business acumen and experience to advise on business-related legal issues.
  • Prior experience with data privacy matters, policies and contractual implications.
  • Approachable with an ability to establish and grow relationships and credibility with people at all levels within the business.
  • Prior experience of collaborating with external counsel.
  • Ability to work independently and deliver a high standard of work under time constraints.
