A Snapshot of Your Day
As a Senior Professional Paralegal, you will play a critical role in supporting Siemens Energy's corporate governance and legal operations by managing corporate entities, governance activities, and regulatory compliance across the organization. Your day may include preparing board materials and corporate resolutions, maintaining legal entity records, coordinating governance activities with cross-functional stakeholders, and ensuring compliance with corporate policies and applicable laws. You will collaborate closely with Legal, Finance, Tax, Treasury, Internal Audit, and business leadership while leading a team of governance professionals to deliver efficient, compliant, and high-quality legal support. This role offers the opportunity to influence corporate governance practices while supporting strategic business initiatives and organizational growth.

How You'll Make an Impact

  • Manage corporate governance activities for U.S. legal entities, including maintaining corporate records, minute books, bylaws, operating agreements, secretary certificates, powers of attorney, entity structure documentation, and other governance records to ensure compliance with corporate policies and applicable legal requirements
  • Coordinate the complete lifecycle of domestic legal entities, including formations, mergers, dissolutions, conversions, qualifications, withdrawals, annual filings, post-acquisition integration activities, and regulatory filings while serving as the primary liaison with registered agents and government agencies
  • Prepare and administer board of directors and shareholder meetings, including agendas, resolutions, written consents, meeting minutes, governance documentation, and follow-up actions to ensure timely execution of corporate governance activities
  • Partner with Legal, Finance, Tax, Treasury, Internal Audit, and other business stakeholders to provide governance guidance, support regulatory compliance activities, respond to corporate information requests, and ensure effective coordination across the organization
  • Lead, coach, and develop a team of corporate governance and administrative professionals while driving process improvements, enhancing governance procedures, and ensuring efficient execution of departmental priorities
  • Monitor governance activities, regulatory obligations, and corporate action items while maintaining governance systems, supporting compliance initiatives, and safeguarding highly confidential corporate information

What You Bring

  • Associate's or Bachelor's degree in Paralegal Studies, Business Administration, Legal Studies, or a related field; Paralegal Certificate preferred
  • 5+ years of experience as a paralegal, preferably supporting corporate governance, corporate legal departments, entity management, or corporate secretarial functions
  • Strong knowledge of corporate governance, corporate law, legal entity administration, board governance practices, corporate record management, regulatory compliance, and corporate secretarial processes
  • Experience utilizing Microsoft Office Suite and corporate governance or entity management software, with the ability to independently manage complex governance activities, legal documentation, and regulatory filings
  • Excellent organizational, leadership, communication, relationship management, and problem-solving skills with the ability to manage multiple priorities, lead teams, and handle highly confidential information with professionalism and discretion
