Senior Corporate Counsel - Mergers & Acquisitions to join its legal team in Dallas, Texas.
This is a newly created growth position driven by increased M&A activity and the organization's continued expansion. After decades of primarily organic growth, the company has become increasingly acquisitive and expects M&A to remain an important component of its long-term strategy.
While M&A will be the primary focus, this is a broad corporate legal role offering exposure to contracts, corporate governance, risk management, and other strategic business matters.
Key Responsibilities- Advise on corporate transactional and government law matters.
- Assist in all stages of M&A deals, including structuring, due diligence, contracts, and closing.
- Conduct comprehensive legal and factual research to identify potential risks and legal issues.
- Provide counsel on corporate structure, board matters, shareholder rights, and regulatory compliance.
- Stay updated on relevant laws and regulations to ensure compliance and risk mitigation.
- Collaborate with cross-functional teams, including senior leadership.
- Assist with administration of employee stock ownership plans.
- Oversee entity formation and maintenance, both domestic and international.
- Manage shareholder records and negotiate commercial contracts and office leases.
- Coordinate with internal and external legal teams as necessary.
- Perform other duties as determined by senior legal leadership.
Minimum Requirements- Juris Doctor (J.D.) from an accredited law school.
- Active license and good standing with at least one U.S. state bar.
- Approximately 5+ years of relevant corporate legal experience, with meaningful hands-on M&A transaction experience.
- Experience supporting transactions from initial stages through closing.
- Strong drafting, negotiation, analytical, and issue-spotting capabilities.
- Ability to translate complex legal matters into practical business guidance.
- Demonstrated ability to work directly with senior executives and cross-functional business leaders.
- Strong interpersonal skills and the ability to operate effectively in a highly collaborative, relationship-driven environment.
- Combination of law firm and in-house corporate experience is preferred but not required.
Work Environment- Full-time, on-site position requiring physical presence at the office Monday through Friday during standard business hours.
