Senior Commercial Counsel, you'll be embedded in the business, not behind it. Aligned exclusively with our Growth team, you'll own the full lifecycle of the commercial contracts behind our AI data center projects: negotiating construction agreements, equipment procurement, and power purchase deals, and building the legal infrastructure that lets us move at the speed this moment demands. Where you'll workThis role is based in our
San Francisco office. You'll sit directly alongside the SF-based Growth team, being in the room with them will be key to move at speed.
Responsibilities- Identify and manage legal risk in commercial transactions, flagging issues clearly and proposing workable solutions rather than just problems.
- Draft, review, and negotiate a high volume of varying commercial contracts, including but not limited to EPC agreements, equipment purchase and supply agreements, power purchase agreements, land licenses, and vendor/service contracts.
- Serve as a strategic legal partner to the business development, procurement, construction, and finance teams - providing practical, deal-forward guidance under time pressure.
- Build and maintain Giga's contract templates, playbooks, and standard terms to enable the business to move faster and more consistently.
- Support financing and real estate transactions as needed, including review of lease agreements, easements, and financing documents.
- Manage outside counsel relationships on commercial matters, including scoping work, managing spend, and ensuring quality output.
- Support the development of legal processes and infrastructure as Giga scales, including contract management systems and internal workflows.
- Stay current on legal developments relevant to energy infrastructure, construction, and AI data center development.
Requirements- JD from an accredited law school and active bar admission in at least one U.S. jurisdiction.
- 7-10+ years of commercial transactional experience, either in a law firm or in-house environment.
- Demonstrated experience negotiating complex commercial contracts, ideally in construction, energy, real estate, or infrastructure.
- Ability to work independently with a high degree of ownership - you don't wait to be told what needs to happen next.
- Strong written and verbal communication skills, with the ability to translate legal complexity into plain business language.
- Comfort operating in a fast-paced, high-growth environment where priorities shift and speed matters.
Bonus points - Experience with power purchase agreements, interconnection agreements, or energy regulatory matters.
- Background in EPC or construction contract negotiation.
- Prior in-house experience at a high-growth startup or infrastructure company.
- Familiarity with data center development, hyperscale leasing, or AI infrastructure.
- Experience supporting M&A, project finance, or real estate transactions.

Pay TransparencyThe range provided below is the role's Base Salary range. This salary range may be inclusive of several career levels at Giga and will be narrowed during the interview process based on a number of factors, including the candidate's experience and qualifications. Additional benefits include 401(k) plan plus subsidized medical, dental, and vision benefits.
