Position Description

The IT Contract Analyst or IT Contract Manager position manages, negotiates, and oversees contracts covering technology services, software licensing agreements, cloud services, hardware acquisitions, and vendor relationships at Applied Medical. Also known as a technology contracts manager or vendor contract manager, this role protects company value while maintaining compliance with legal, financial, and corporate requirements. This position is available at the IT Contract Analyst or IT Contract Manager level, with placement determined by experience.

Key Responsibilities
  • Review, revise, and negotiate commercial terms and legal provisions across master agreements, End User License Agreements (EULAs), Statements of Work (SOWs), and Service Level Agreements (SLAs).
  • Maintain a centralized contract management system, oversee document control and versioning, and track contract renewals and expirations for stakeholder visibility.
  • Participate in sourcing and vendor selection processes from a contract and compliance standpoint.
  • Verify that contracts comply with company policy, industry standards, and data privacy regulations, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
  • Identify and summarize legal and operational risks, vendor concessions, recommend solutions, and provide guidance on contract interpretation.
  • Support contract audits and assist with dispute resolution.
  • Develop and implement policies and workflows for contract management.
  • Collaborate with Legal, Finance, Procurement, and Information Technology teams to align contract terms with business objectives and risk tolerance.

  • Maintains full visibility into contract status, renewals, and expirations across the portfolio.
  • Builds strong partnerships with Legal, Finance, Procurement, and Information Technology to align contract strategy with business goals.
  • Translates complex legal language into clear, actionable guidance for stakeholders and decision makers.
  • Identifies compliance gaps early and resolves them before they affect operations.
  • Strengthens vendor relationships while safeguarding Applied Medical's contractual position.


Position Requirements

This Position Requires the Following Skills and Attributes
  • Bachelor's degree in business, supply chain management, or a related field, or equivalent experience.
  • Three to five years of experience drafting, reviewing, negotiating, and managing technology contracts, including software licensing, cloud services, hardware, and professional services agreements.
  • Working knowledge of contractual terms, risk mitigation strategies, and regulatory frameworks such as the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
  • Proven ability to manage multiple contracts at once, maintain version control, track renewals and expirations, and summarize key terms and risks for stakeholders.
  • Strong written and verbal communication skills, with the ability to translate legal language into practical guidance for cross functional teams.
  • Demonstrated collaboration skills, with experience partnering with Legal, Finance, Procurement, and Information Technology teams.

Preferred

The Following Skills and Attributes Are Preferred
  • Experience using Contract Lifecycle Management (CLM) systems.
  • Professional certification such as Certified Professional Contracts Manager (CPCM) or Certified Commercial Contracts Manager (CCCM) through the National Contract Management Association (NCMA), or paralegal certification.
  • Background in IT sourcing, procurement, vendor management, or a technology focused organization.
  • Supply chain or procurement management certification.
