Full Job Description
Summary
Junior Associate Attorney will be positioned to AHQ to provide legal supports to AHQ and the subsidiaries under AHQ. The legal issues at AHQ include large complex projects and claims at corporate level such as M&A, real estate transaction, joint venture, entity reorganization and large scale claims. The attorney will be charged with risk management such that it will be surveying, analyzing and making report of contracts and insurances of all subsidiaries. This role also encompasses corporate governance, ensuring adequate insurance coverage, drafting policies, and handling other assigned legal tasks to safeguard compliance.

Compensation

$150,000 - $162,500 yearly salary range. (Subject to Compensation Study Upon Candidate Selection)

Responsibilities

1. Contracts / Projects
ㅇDraft, review, and negotiate a wide range of commercial agreements, including customer and supplier agreements, and intercompany agreements.
ㅇOversee the lifecycle of contracts, including tracking amendments, renewals, and ensuring adherence to terms and conditions
ㅇDevelop and update contract templates and internal contracting processes and training.
ㅇHandle legal aspect of large scale projects at corporate level such as real estate transaction, M&A, entity reorganization, and joint ventures

2. Risk Management / Compliance
ㅇDraft, distribute and collect periodic surveys to assess the status of each subsidiary company's contracts and insurances, and ongoing litigations.
ㅇAnalyze, identify and evaluate risk factors over the survey outcomes, and draft a report summarizing the findings and recommendations including proper insurance coverage to hedge risks
ㅇCollaborate with internal teams to draft, update, and maintain company policies in alignment with legal and operational requirements

3. Litigations
ㅇOversee litigation processes, including coordinating with external counsel and advising on strategy for resolving disputes
ㅇAnalyze and summarize the lessons learned from litigation and distribute preventive measures to operational teams

Education & Experience
  • Juris Doctorate Required
  • 1 - 4 years of direct experience in Legal, Litigation, Transportation Legal

Physical Requirements
  • Ability to sit in front of a desk and/or in front of the computer for long periods
  • Must operate desktop, computers, laptop, printer, scanners, shredders, etc.
  • Constant use of hand/grasping product, writing, and typing
  • Sit for 5+ hours per day
  • Stand, walk, bend, stoop, reach over shoulder, kneel, push, pull 1-3 hours per day
