What you'll do:
As Senior Counsel - Finance, you will support the Company's Legal Department and business partners by providing legal advice and counsel on commercial lending and related credit matters. You will contribute to the broader legal practice by advising on practice-specific business transactions and partnering with internal stakeholders to support the implementation and administration of legal and regulatory requirements impacting the Company's lending business and credit administration.
  • Provide legal advice and counsel on commercial lending and related credit matters, including structuring, diligence, drafting, and negotiation of transaction documentation (bilateral and syndicated; real and personal property secured).
  • Advise business lines and internal support functions on applicable legal and regulatory requirements; provide timely legal updates and guidance to support compliant operations.
  • Support the development, implementation, and administration of credit- and lending-related policies, procedures, and quality control programs.
  • Partner with other Legal team members on business transactions, operational issues, and cross-functional projects, including strategic initiatives and product support.
  • Manage and oversee outside counsel and other legal resources in connection with lending matters, including loan origination support and dispute/collection or special assets matters, as needed.
  • Perform legal research and analysis and translate findings into practical, risk-based recommendations for business stakeholders.
  • Support department and company initiatives as needed.
  • Oversee the work of assigned attorney or non-attorney staff to support delivery of quality legal services, as applicable.


What you'll need:
  • 5+ years of related experience in Legal.
  • Juris Doctor Degree required.
  • Intermediate to advanced knowledge of a broad spectrum of commercial finance transactions (such as commercial real estate, C&I, ABL, public finance, warehouse lending, technology, bioscience, healthcare, agriculture, resort finance, equipment finance, others), including deal structuring, origination, workout, and enforcement; special assets experience a plus.
  • Intermediate to advanced knowledge of secured transactions, Uniform Commercial Code (particularly Articles 9 and 12), and real property law.
  • Intermediate to advanced knowledge of applicable regulatory and legal compliance obligations, rules and regulations, industry standards and practices.
  • Intermediate to advanced Microsoft Office Suite skills.
  • Expert speaking and writing communication skills.


Compensation: Salary range for new hires is generally $207,000.00 - $256,000.00 for San Diego, CA. Salary amount is determined by specific job location. In addition, the role may be eligible for annual bonus/incentives earned and restricted stock.
