Full Job Description
The Senior Transactional Lawyer will provide high-quality legal support across a broad range of complex transactions and general corporate matters. The role spans Cloud Capital's core business areas, including fund management, real estate, and the financing, development, leasing, and operation of hyperscale data centers. This position is well-suited to a commercially minded lawyer who thrives in a fast-paced, entrepreneurial environment and enjoys working autonomously.

Principal Duties and Responsibilities

Transaction Management & Delivery

Lead legal support for multiple concurrent transactions, including real estate acquisitions and development, corporate M&A, joint ventures, and debt financing-primarily in the United States.

Manage external counsel in connection with these transactions and provide ongoing post-acquisition support.

Oversee the drafting, negotiation, and coordination of construction-related agreements, such as building contracts, consultancy appointments, framework agreements, and power supply agreements, ensuring compliance with financing requirements.

Tenants

With assistance from external counsel, negotiate and manage commercial leases, SNDAs, and related tenant disputes

Strategy and relationships

Provide strategic and pragmatic legal advice to executives, senior management, and internal stakeholders to support business objectives and risk management.

Investment Vehicles

Support the negotiation of fund terms, investor side letters, and collaboration with external counsel on fund documentation

General Legal Support

Handle a broad range of in-house legal matters, including vendor agreements, entity formation, potential disputes, NDAs, employment-related matters, contract renewals, and authorised signatory duties.

External Counsel

Coordinate and manage external legal, finance, and tax advisers, ensuring cost-efficient and high-quality advice.

Governance, Regulatory & Compliance

Advise on federal and state regulatory matters, including CFIUS, and support the Compliance team in maintaining the standards expected of a registered investment adviser, with a strong emphasis on governance, compliance, and risk management.

Requirements

JOB QUALIFICATIONS

Credentials: Current member of the State Bar Association.

Education: Juris Doctor from an ABA accredited law school

Experience: Minimum six (6) years of professional experience gained in the corporate team of a top-tier law firm or similar environment. Commercial experience and/or in-house experience preferred but not essential.

• Highly self-motivated with the ability to operate autonomously in a fast-paced environment.
