We are seeking a Legal Ops & Governance Analyst to join our Securities, Corporate Governance & Legal Ops team. In this role, you will provide operational and governance support for a NYSE-listed global company, with a particular focus on board and committee processes, public company filing administration, director lifecycle matters, annual meeting logistics, legal technology and governance records. Reporting to the Corporate & Legal Operations Manager, you will work closely with attorneys, legal operations colleagues and business partners to coordinate high-quality, timely execution of recurring governance processes, legal operations initiatives and strategic projects. Successful candidates will be highly organized, detail-oriented, proactive and comfortable managing multiple deadlines in a fast-paced global environment.
Your responsibilities will include:
• Board & Committee Support: Coordinate notices, meeting calendars, logistics, materials and project plans for quarterly and other board and committee meetings.
• Meeting Documentation: Prepare annotated agendas, draft routine resolutions and shell minutes, and compile and distribute final minutes, written consents and other governance documents, working under attorney supervision as appropriate.
• Director Lifecycle Processes: Coordinate director onboarding and offboarding, including required documentation, access, orientation materials and related administrative follow-up.
• Board Assessments & Questionnaires: Administer annual Board and committee self-assessments and director and officer questionnaires, including configuration, distribution, tracking and reporting through Diligent.
• Diligent Administration: Manage day-to-day use of Diligent and other technology platforms, and help enhance platform configuration, governance workflows, document organization, user adoption, reporting capabilities, and process automation.
• SEC Filing Operations: Provide drafting, review, EDGAR preparation and filing support for Section 16 reports and Form 8-K filings, and assist with filing-related coordination for Forms 10-K and 10-Q, earnings releases and proxy materials, under attorney supervision.
• Related Party Reporting: Coordinate the quarterly related party reporting process, including distribution, tracking, follow-up and maintenance of supporting records.
• Proxy & Annual General Meeting Support: Support proxy production and filing workflows and coordinate annual general meeting logistics, vendors, meeting mechanics and routine NYSE reporting requirements.
• Corporate Calendar & Records: Maintain the annual corporate calendar, track key governance and filing deadlines, and maintain organized legal and governance records, knowledge resources, templates and departmental documentation within Teams, Diligent and other document management systems.
• Governance & Global Corporate Secretary Initiatives: Support project management, communications, records consolidation, process standardization, technology enhancements and cross-functional operational initiatives for global governance and corporate secretarial activities.
• Legal Operations Support: Partner with the Corporate & Legal Operations Manager on Legal Operations initiatives, including legal technology administration, system implementations, process improvement, workflow development, reporting, knowledge management, user training and adoption, and continued enhancement of departmental resources and collaboration tools.
• Process Improvement & Special Projects: Identify and implement practical improvements to governance and legal operations workflows, templates, controls, reporting, technology and automation, and take ownership of assigned projects and system implementations through completion.
• Outside Counsel & Legal Operations Administration: Support outside counsel onboarding, engagement records, billing and invoice workflows, departmental reporting, legal spend tracking, and other operational processes that support the effective management of Legal, Regulatory & Compliance Department activities.
Your skills and abilities should include:
• Bachelor's degree or equivalent relevant experience; paralegal certificate or experience in corporate governance, legal operations, public company, corporate secretary or board support work is preferred.
• Experience coordinating board or committee processes, corporate records, SEC filing administration or other deadline-driven legal or governance workflows is strongly preferred.
• Excellent written, verbal and interpersonal communication skills, with the ability to prepare clear, accurate and professional materials for senior leaders and directors.
• Exceptional attention to detail and organization, with the ability to proactively manage multiple projects, recurring processes and competing deadlines in a fast-paced global environment.
• Sound judgment, discretion and a collaborative, service-oriented approach, together with intellectual curiosity, integrity and a willingness to learn and assume increasing responsibility.
• Strong proficiency with Microsoft Office; experience with Excel, Diligent, EDGAR filing software, Teams, project management software (g., Monday.com), document management systems or other legal and governance workflow technologies is preferred.
• Ability to work effectively with attorneys, legal operations professionals, senior executives, directors, vendors and cross-functional stakeholders.

SALARY: The estimated annual salary range for this position is mentioned below. This is a good-faith assessment of the salary range for this position only. In determining the actual salary within this range, SiriusPoint will consider a candidate's relevant experience, location, and other job-related factors.
SALARY RANGE
$120,000-$135,000 USD
