Job Description

The Director, Governance and Board Relations ("Director GBR"), serves as a key liaison between WellSpan Health's Board of Directors, executive leadership, and administrative teams. This position is responsible for coordinating governance activities, supporting board and committee operations, maintaining official records, and ensuring effective communication between board members and organizational leadership.

The Director GBR, who reports to the Chief Legal Officer, plays a critical role in advancing effective governance practices by facilitating board meetings, managing board communications and materials, overseeing governance documentation, and supporting board member engagement, education, and onboarding initiatives for WellSpan Health and its controlled entities ("Controlled Entities").

Responsibilities

Boards and Committee Administration
  • Coordinate all board of director and committee meetings for WellSpan Health and its Controlled Entities.
  • Develop annual board and committee calendars.
  • Prepare and distribute meeting agendas, board books, and presentation materials, and maintain board portal.
  • Coordinate meeting logistics, scheduling, and technology requirements.
  • Record, prepare, and maintain official meeting minutes and resolutions.
  • Track board decisions, follow-up items, and action plans.

Governance and Compliance
  • Maintain governance records, bylaws, charters, policies, and corporate documents, in coordination with the Office of General Counsel.
  • Support compliance with nonprofit governance standards and regulatory requirements.
  • Coordinate annual conflict-of-interest disclosures and governance certifications.
  • Assist with governance audits and accreditation-related requests.
  • Monitor board terms, appointments, and committee assignments.

Board Member Relations
  • Serve as primary point of contact for board members regarding governance matters.
  • Coordinate board orientation and onboarding programs.
  • Facilitate ongoing board education and development opportunities, including identifying national speakers for board events.
  • Assist with board recruitment and succession planning activities.
  • Support board recognition events, retreats, educational events, and strategic planning sessions.

Executive Support
  • Collaborate with executive leadership to ensure timely preparation of board materials.
  • Coordinate presentation development for board and committee meetings.
  • Provide governance guidance to leaders across the health system.
  • Manage board portal administration and document distribution.


Qualifications

  • Bachelor's degree required; preferred in Healthcare Administration, Business Administration, Public Administration, Legal Studies, Communications, or a related field.
  • Five years progressively responsible experience in healthcare administration, governance, legal operations, executive administration, or board relations.
  • Experience preparing executive-level communications and presentations required.
  • Experience supporting hospital, healthcare system, nonprofit, or corporate boards preferred.
  • Corporate governance experience within an integrated health system or academic medical center is preferred.
