Job Summary:

As Director, Ethics & Compliance, you will serve as UGI's senior compliance leader, responsible for designing, implementing, and continuously strengthening our ethics and compliance program across the U.S. enterprise and globally - spanning Corporate headquarters, all business units and future market expansions.

This is a high-visibility role that requires the ability to operate confidently across diverse regulatory frameworks and cultures. Reporting to the Vice President & Deputy General Counsel, you will provide strategic leadership and day-to-day operational management of the full compliance lifecycle with regular interaction with key stakeholders, including Business Unit Presidents, Function Heads and the Board's Audit Committee.

Responsibilities:
  • Own the global compliance program framework, risk assessment, and policy governance, including the Code of Business Conduct.
  • Oversee sanctions/trade compliance (OFAC, BIS, EU, UK), including screening processes and the interface with UGI's European trading and commercial operations.
  • Lead UGI's global anti-corruption program (FCPA, UK Bribery Act, French Sapin II) and a risk-based third-party due diligence program for distributors, agents, and high-risk vendors.
  • Design and deliver enterprise-wide compliance training and foster a speak-up culture.
  • Provide guidance on ethics investigations from intake through resolution.
  • Partner with key stakeholders, including Business Unit Presidents, Legal, HR, Internal Audit, Risk, and the Audit Committee of the Board of Directors on compliance strategy and reporting.

Qualifications:

Required
  • Bachelor's degree required; J.D., M.B.A., or other advanced degree preferred.
  • 12-15+ years of progressive ethics and compliance experience, including at least 5 years in a senior compliance leadership role within a regulated, complex, multi-jurisdictional enterprise (energy, utilities, or industrial sector experience a plus).
  • Demonstrated expertise in global investigations, multi-jurisdictional policy governance, enterprise risk assessment, and sanctions/anti-corruption compliance.
  • Deep working knowledge of DOJ Corporate Compliance Guidance, FCPA, OFAC regulations, and the U.S. Federal Sentencing Guidelines, as well as European compliance requirements (EU Whistleblower Directive, Sapin II, UK Bribery Act, GDPR).
  • Proven ability to lead and influence cross-functional teams without direct authority, and to communicate complex compliance matters with clarity to Board-level and business audiences.
  • Sound judgment, the highest personal integrity, and the discretion and courage to navigate sensitive matters independently.

Preferred
  • Certified Compliance & Ethics Professional (CCEP), Certified Fraud Examiner (CFE), or equivalent certification.
  • Experience with publicly traded, complex U.S. and global operating structures.
  • Familiarity with compliance management technology platforms (e.g., NAVEX Global, EthicsPoint, third-party due diligence and e-learning systems).
  • Experience working within a European Works Council environment and EU employee consultation requirements.
  • Energy or utilities sector regulatory experience (FERC, CFTC, state PUC compliance, pipeline safety).
