Overview

Job Description:

The Director of Compliance is responsible for designing, implementing, and overseeing the Ethics Awareness and Compliance Program ("Program") for Honu Services and the sister subsidiaries it supports (collectively, the "enterprise"). Embedded within the Office of Regulatory Affairs, this foundational role ensures the enterprise operates in full alignment with applicable laws, regulations, government contracting standards, and internal policies, while supporting business growth, risk management, and audit readiness. The ideal candidate will establish and maintain a comprehensive compliance framework for the Federal procurement market which fosters enterprise growth and a strong culture of compliance. The position reports to and is overseen by the General Counsel & Head of Compliance, however the Director of Compliance will periodically report to Honu Services' C-Suite (currently the CEO, COO, and CFO), as well as the Board of Directors of Na Oiwi Kane, Honu Services' parent company, on the effectiveness of the Program, issues arising under the Program, and resources needed to maintain the Program.

Responsibilities include:
  • Develop the enterprise's compliance strategy in alignment with corporate objectives and government contracting requirements;
  • Oversee the Program, to include the development, implementation, and auditing of policies and procedures which ensure compliance with applicable laws, regulations (e.g., FAR, DFARS, agency supplements, ITAR/EAR), and internal standards;
  • Ensure that a written Code of Ethics and Business Conduct (the "Code") is maintained, regularly updated and distributed/made available to all employees;
  • Ensure training related to the Program and Code is received by all enterprise employees on a regular basis and new hires as part of their on-boarding process;
  • Monitor internal and external changes impacting the Program and Code (including, but not limited to, important legislative and regulatory developments) and communicate the impact to executive leadership;
  • Conduct periodic risk assessments and review the Program no less than annually to ensure the Program is adapted to current requirements, changes in business lines and focus, and to account for lessons-learned;
  • In conjunction with enterprise leadership and key personnel, promote a culture of compliance, ethics, and accountability through the organization;
  • Identify resources and data access necessary to carry out the functions and responsibilities of an effective Program;
  • Ensure timely preparation, review and submission of regulatory filings and documentation;
  • Oversee internal reporting systems for the reporting of suspected instances of improper conduct including through a system that permits employees to report anonymously and confidentially (i.e. a Hotline system);
  • Ensure all internal reports are handled and resolved in the appropriate manner and documented;
  • Investigate alleged violations of the Code or Program and, if appropriate, develop mitigating corrective action;
  • Oversee and implement policies and procedures to ensure that appropriate notification and disclosure are provided to the Government, where required by law; and
  • Other duties as assigned.


Requirements

  • 10+ years of progressive experience in compliance, legal, or regulatory roles in the government contracting sector;
  • Active designation as a Certified Compliance & Ethics Professional (CCEP) through the Society of Corporate Compliance and Ethics;
  • Bachelor's degree required; advanced degree in law, public policy, business, or a related field preferred;
  • Deep knowledge of federal procurement regulations; experience with SBA regulations strongly preferred;
  • Experience related to internal and external audits, including those initiated by the government;
  • Proven ability to advise executive leadership and manage enterprise-level risk;
  • Ability to work independently and collaboratively; and
  • Exceptional written and oral communication skills.

Physical Requirements:

Work may involve sitting or standing for extended periods of time. Position may require typing and reading from a computer screen. Must have enough mobility, including but not limited to bending, reaching, and kneeling to complete daily duties in a timely and efficient manner. May include lifting weigh up to thirty (30) pounds, as necessary.

Location/Work Schedule:

This is a remote work-from-home position, but the successful candidate may work from our office in Kailua as desired. While the role offers flexibility, the Director of Compliance is expected to be available during standard business hours and maintain a dedicated workspace. Occasionally, this position may require support outside of regular hours, including early mornings or evenings, to meet critical deadlines or business needs. Occasional travel will be required.
