Description

The Counsel, Securities role exists to provide strategic legal support across the Company's securities law and treasury activities, ensuring compliance with public company obligations and enabling effective capital markets and financing strategies. The position serves as a key partner to Treasury, Finance, and senior leadership, advising on SEC reporting, disclosure, corporate governance, and global financing transactions. We are seeking a highly motivated, detail-oriented attorney to join our Legal team and support the Company's ongoing growth, liquidity management, and capital structure initiatives.

Key Responsibilities
  • Lead and advise on all securities law matters, including SEC reporting, disclosure controls, and compliance with public company obligations.
  • Support capital markets transactions, including debt issuances, equity offerings, and other financing arrangements.
  • Partner closely with Treasury and Finance on: credit agreements, revolving facilities, and liquidity planning; cash management structures and intercompany financing; and banking and financial institution relationships.
  • Review and oversee SEC filings (10-K, 10-Q, 8-K, proxy statements), earnings releases, and investor communications.
  • Advise on corporate governance matters, including Board and committee materials, policies, and compliance frameworks.
  • Provide legal support for treasury-related strategic initiatives, including refinancing, hedging arrangements, and capital allocation activities.
  • Coordinate with internal stakeholders and external counsel on regulatory developments and best practices in securities and treasury law.
  • Maintain and enhance internal policies, procedures, and documentation related to securities compliance and treasury operations.
  • Support M&A transactions as needed, with a focus on financing, disclosure, and integration from a securities and treasury perspective.


Qualifications

  • J.D. and a minimum of 8 - 10 years' experience in the practice of corporate and securities law, capital markets, and treasury, preferably within a global public company or top-tier law firm
  • Deep expertise in U.S. securities laws, including Exchange Act reporting, Securities Act offerings, disclosure obligations, and corporate governance requirements
  • Demonstrated experience advising on debt and equity offerings, credit facilities, commercial paper programs, and other financing transactions
  • Strong familiarity with treasury operations, including liquidity management, intercompany financing, cash pooling, and banking relationships
  • Experience supporting SEC filings (10-K, 10-Q, 8-K, proxy statements) and earnings-related disclosures
  • Knowledge of corporate governance, board processes, and investor communications
  • Ability to collaborate effectively with Treasury, Finance, Investor Relations, and external advisors
  • Excellent judgment, drafting, and negotiation skills, particularly in financing and securities-related documentation
  • Admission to the Bar of the State of New York (or another state) in good standing
  • Strong ability to think strategically and creatively to resolve matters effectively and efficiently and to build strong collaborative relationships with senior management, as well as business leaders and other colleagues in various functions (e.g., Finance, HR, Global Communications, SEC Reporting)
  • Excellent legal and business judgment; a high degree of discretion; excellent organizational and verbal and written communication skills
  • Someone who strives for excellence in execution and follow-through
  • Ability to cover a high volume of matters simultaneously
  • Experience with the latest technologies to enhance efficiency


Pay Range:

The anticipated base salary range for this position is $158,650.00 to $272,700.00. Exact salary depends on several factors such as experience, skills, education, and budget. Salary range may vary based on geographic location.
