Full Job Description
Your Team, Your Impact

The Commercial Transactions Group in Marvell's Legal Department drafts, reviews, negotiates, and manages the company's global commercial agreements. The team partners closely with every business unit and functional group across Marvell, and counsels and provides solutions and business and legal advice on best practices and risks for commercial engagements. This role will be part of the Commercial Transactions Group with a focus on supporting the Sales attorney's, leverage AI tools and automation platforms to generate, analyze, and maintain reports that support business decision-making, and general contract administration. This position plays a crucial role as the entry point for sell-side transactions, and facilitating seamless contract flow across the lifecycle.

What You Can Expect
  • You will partner closely with sales and buy-side team to support administration of and maintain CLM flow and deal momentum, aligned with Marvell's contracting policy of NDAs, Sales and buy-side agreements.
  • You will support internal client queries using or creating updated training documentation, managing slack channels, and with clear and practical responses.
  • You will support template updates including aligning templates to Marvell standards/industry required updates, implementing template into CLM, and managing the template update process via SharePoint.
  • Serve as a legal liaison responsible for supporting and coordinating required reporting activities.
  • Under the supervision of an attorney, you will draft and prepare certain agreements, such as consulting and professional services agreements, evaluation agreements, amendments to agreements, statements of work, and related legal documents.
  • You will work on projects as necessary to support the attorneys in the Commercial Transactions. Group and collaborate on cross-functional projects within the Legal organization.
  • You will review agreements and identify key legal metadata to ensure contract obligations are properly captured and maintained.
  • You will support overflow work from the Contracts Administrator and serve as back-up for this role.
  • As applicable, you will provide support on M&A activities and other strategic or operational projects as requested.


What We're Looking For
  • You must have a bachelor's degree, and a paralegal certificate is preferred.
  • You must have at 3-5 years of relevant experience.
  • You must be comfortable with technology and have a mastery of Microsoft Office suite and the ability to learn and use contracts lifecycle management systems and applications, including new AI/Legal Ops tools. Salesforce experience is a plus.
  • You must have excellent written and verbal communication skills.
  • You must have the ability to carefully proofread and pay close attention to detail.
  • You must have excellent organizational and record keeping skills.
  • You must be service-oriented, have a positive attitude, collaborate with others effectively, and have the ability to balance multiple tasks in a fast-paced environment.
  • You must be proactive and solution oriented.


Expected Base Pay Range (USD)
83,900 - 124,100, $ per annum

The successful candidate's starting base pay will be determined based on job-related skills, experience, qualifications, work location and market conditions. The expected base pay range for this role may be modified based on market conditions.
