Associate Attorney to join its sophisticated
Capital Markets Practice Group. This is an exceptional opportunity to work with a highly regarded team
advising issuers, underwriters, investors, and public companies on a broad range of capital markets transactions, securities law matters, corporate governance issues, and cross-border offerings. The practice serves clients ranging from emerging growth companies to Fortune 500 corporations, major financial institutions, and leading real estate sponsors.
Candidate Profile - JD from a top-tier law school with an excellent academic record.
- Active Bar Admission in the applicable jurisdiction., in good standing, or are eligible to waive in.
- 2-3 years of substantive experience in Securities Act of 1933 transactions, Securities Exchange Act of 1934 compliance, and corporate governance matters
- Experience representing issuers, underwriters, agents, and financial institutions in public and private offerings of equity and/or debt securities
- Experience advising public companies regarding SEC reporting obligations, disclosure requirements, corporate governance matters, and stock exchange listing requirements
- Familiarity with IPOs, follow-on offerings, private placements, Rule 144A offerings, investment-grade debt offerings, high-yield debt offerings, and convertible securities transactions
- Interest in working on sophisticated, high-profile transactions for clients across a wide range of industries and growth stages
- Strong analytical, drafting, organizational, and communication skills
- Demonstrated ability to thrive in a collaborative, team-oriented environment
- Large law firm experience preferred
Key Responsibilities - Advise issuers, underwriters, and investors on equity capital markets transactions, including IPOs, follow-on offerings, private placements, and Rule 144A offerings
- Represent clients in debt capital markets transactions, including investment-grade debt issuances, high-yield debt offerings, and convertible securities transactions
- Counsel public companies regarding SEC reporting and compliance obligations, disclosure requirements, and corporate governance matters
- Advise boards of directors and management teams on shareholder engagement, governance best practices, and stock exchange listing requirements
- Assist international issuers, underwriters, and investors with U.S. capital markets access and multi-jurisdictional offerings
- Represent public and private REITs and real estate companies in formation, structuring, and capital-raising transactions across a broad range of asset classes
- Collaborate with attorneys across corporate, finance, tax, and regulatory practices to execute complex domestic and cross-border transactions
Compensation & Benefits - Competitive Salary: $235,000 - $260,000, commensurate with experience and class year.
