SUMMARY/JOB PURPOSE: Exelixis is seeking an Associate Corporate Counsel to join the Legal Department's contracting team, reporting to the Senior Corporate Counsel, Contracts. This person will be an integral member of the Legal Department and will have the opportunity to operate both independently and as a member of a team in a dynamic environment to support the growing contracting needs of Exelixis. You will support and work collaboratively with the General & Administrative (G&A) departments across the organization. This role will primarily focus on IT, Information Security and privacy related matters but will also involve supporting other G&A functions in the organization as needed, including Real Estate, Facilities, Finance/Accounting, Investor Relations/Public Affairs, Human Resources, and others.
ESSENTIAL DUTIES AND RESPONSIBILITIES: - Draft, revise, negotiate and manage a wide range of contracts, which may include, but are not limited to, NDAs, master services agreements, consulting/professional services agreements, task orders/work orders/statements of work, software license agreements, cloud computing agreements, data processing agreements, amendments, change orders and various other IT and Facilities related vendor agreements.
- Advise and troubleshoot on existing agreements.
- Identify risks and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution.
- Liaise with various internal clients effectively to address legal and business questions.
- Ensure contracts accurately convey business terms while protecting Exelixis' interests.
- Advise contracts managers on complex negotiations.
- Ensure continuity and improvement in the quality, efficiency, and effectiveness of contracting systems, processes, and procedures.
- Support the ongoing development of templates and playbooks in your area of support in collaboration with other Legal Department team members.
EDUCATION/EXPERIENCE/KNOWLEDGE & SKILLS: Education
- BS/BA degree, preferably in life sciences or a related field.
- JD degree and minimum one year of related experience required.
- Must be admitted to practice, preferably in California.
Experience:
- Prefer at least three years of relevant transactional experience as an attorney in a law firm or in-house legal environment.
Knowledge/Skills:
- Possesses executive presence and ability to interact comfortably with executives and senior management, clear and concise verbal and written communication skills, and must have excellent interpersonal communication skills.
- Ability to implement organizational or team objectives.
- Ability to develop creative technical and/or business solutions for complex problems and implement organizational or team objectives.
- Must be efficient, detail-oriented and have strong organizational skills.
- Ability to handle multiple tasks simultaneously and with the ability to re-prioritize on short time frames.

WORKING CONDITIONS:- Environment: primarily working indoors, performing desk work.

Our compensation reflects the cost of labor across several U.S. geographic markets, and we pay differently based on those defined markets. The base pay range for this position is $183,000 - $259,000 annually. The base pay range may take into account the candidate's geographic region, which will adjust the pay depending on the specific work location. The base pay offered will take into account the candidate's geographic region, job-related knowledge, skills, experience and internal equity, among other factors.

Employees are also eligible for a discretionary annual bonus program, or if field sales staff, a sales-based incentive plan.
