Vice President, Equity Capital Markets

The Opportunity

TD Securities is seeking an exceptional Vice President to join our U.S. Equity Capital Markets team in New York.

This is an opportunity to assume meaningful responsibility within a growing franchise, advising corporate and financial sponsor clients, leading complex equity transactions, and helping shape the continued development of our U.S. ECM platform.

The successful candidate will combine execution excellence with market judgment, commercial instinct, client credibility, and a commitment to developing others.


What You’ll Do
  • Lead the execution of IPOs, follow-on offerings, block trades, private placements, equity-linked transactions, and other strategic equity solutions.
  • Advise clients on market conditions, valuation, investor positioning, transaction structure, timing, and execution strategy.
  • Partner with senior ECM, industry coverage, financial sponsor, and product bankers to identify opportunities, develop differentiated ideas, and help win mandates.
  • Serve as a primary day-to-day client contact, coordinating transaction workstreams across legal counsel, auditors, syndicate banks, sales and trading, research, and investors.
  • Translate market developments, investor sentiment, and transaction performance into clear, actionable recommendations for senior executives and financial sponsors.
  • Oversee valuation, transaction sizing, investor targeting, ownership analysis, and the preparation of high-impact client materials.
  • Lead and develop Associates and Analysts while maintaining the highest standards of accuracy, judgment, and client readiness.

Qualifications
  • Six or more years of relevant experience in Equity Capital Markets, investment banking, capital markets, or a closely related discipline.
  • Meaningful experience executing public or private equity transactions.
  • Strong understanding of equity markets, valuation, corporate finance, SEC filings, and transaction execution.
  • Demonstrated ability to lead complex workstreams and manage senior client and internal relationships.
  • Exceptional analytical, written, verbal, and presentation skills.
  • Experience supervising and developing junior professionals.
  • Bachelor’s degree or equivalent professional experience.
  • Series 7, 79, and 63 licenses, or the ability to obtain required licenses within the applicable period.

Depth & Scope:
  • Develops transaction ideas and discusses appropriate context with senior coverage team members
  • Develops revenue in all product areas and executes transactions
  • Demonstrates relevant market / industry / product knowledge
  • Structures/delivers high impact presentations
  • Maintains client relationships and keeps them informed as deals progress
  • Keeps more senior ECM and coverage officers informed as deals progress/issues arise
  • Liaises and/or interacts with clients at all levels (CFO, Treasurer, Assistant Treasurer, etc.)
  • Liaises with clients primarily at CEO and CFO level
  • Executes on deals, generating or contributing to increases in revenue levels
  • Directs, trains, and develops team members to enable them to meet challenges department objectives and achieve full potential
  • Establishes an environment that promotes respect for the individual employee and adheres to the policies and guidelines of the Bank
  • Maintains confidentiality of client information
  • Accountable for providing expertise and support to senior coverage team members in execution of transactions and deal structure by providing expertise and knowledge of relevant markets/industries/products
  • Develops recommendations/ideas for transactions and revenue generation, structures/delivers presentations, and manages deals/transactions as they progress/issues arise (escalating and keeping senior coverage officers informed as required)
  • Liaises and maintains client relationships
  • Acts as an experienced specialist for an assigned business or portfolio; role requires deep knowledge
