MG+M The Law Firm (MG+M) is seeking to add two Transactional
Associate Attorneys to our
Transactional Practice Group in the Boston, MA office. We are considering candidates at both the mid-level (2+ years) and senior-level (7+ years) handling transactional matters.
Essential Duties and Responsibilities: For Attorneys with 2+ Years of Experience:
- Draft, review, and negotiate a variety of commercial contracts, including NDAs, service agreements, licensing agreements, and vendor contracts.
- Assist with corporate transactions such as entity formation, restructuring, mergers, acquisitions, and joint ventures.
- Conduct legal research and provide strategic advice on transactional matters and regulatory issues.
- Support due diligence efforts and prepare related documentation.
- Collaborate with internal departments and external clients to ensure legal compliance and mitigate risk.
- Maintain organized records and manage timelines for multiple ongoing transactions.
- Stay current with relevant laws, regulations, and industry trends.
For Attorneys with 7+ Years of Experience:
- Lead the drafting, review, and negotiation of complex commercial agreements.
- Manage and oversee corporate transactions, including mergers and acquisitions, joint ventures, financing, and restructurings.
- Advise clients on transactional structures, risk mitigation, and regulatory compliance.
- Oversee due diligence processes and supervise junior attorneys.
- Manage multiple high-level transactions simultaneously while meeting deadlines and client expectations.
- Stay informed on evolving legal and regulatory developments and apply insights to client matters
Candidate Requirements: - A minimum of two (2) years of experience in transactional law, preferably in a law firm or corporate legal department.
- Juris Doctor from an accredited law school.
- Must be admitted to practice in the state of Massachusetts.
- Strong understanding of contract law, corporate law, and regulatory frameworks.
- Exceptional written and verbal communication skills.
- Ability to manage multiple priorities and work independently or collaboratively.
- High attention to detail and strong organizational skills.
- Experience with M&A transactions and corporate governance, preferred.
- Proficiency in legal research tools and document management systems.
