Full Job Description
The Corporate Paralegal will be responsible for supporting the Sony Music Business and Legal Affairs M&A team to 1) fully implement and maintain Diligent Entities, a global entity management platform, and 2) track, coordinate and manage annual corporate report filing compliance. The Diligent Entities aspect of the role will focus on organizing, reviewing, and uploading corporate data from multiple sources into the Diligent Entities platform, ensuring accuracy, consistency, and proper classification. The ideal candidate is an experienced corporate paralegal with global entity management experience (Diligent Entities experience a plus), familiarity with M&A transactions, and a strong background in corporate governance and document management. What you'll do: • Maintain and keep current Diligent Entities platform, including ongoing data and document collection, record organization, onboarding of new users, and system configuration updates • Organize and process documents in Sony Music's M&A SharePoint site and upload fundamental documents into the Diligent Entities platform • Review and identify corporate transactional documents (e.g., operating agreements, purchase agreements, formation documents) and file them accurately within the SharePoint and Diligent Entities platform folder structures • Ensure that Annual Reports filed by the CSC Annual Report Services Team and other miscellaneous corporate filings ordered through CSC are uploaded to the M&A SharePoint site and to the Diligent Entities platform, as appropriate. • Coordinate with internal stakeholders and outside counsel to gather, verify, and upload entity-related data needed to maintain current information in the Diligent Entities platform. • Assist with corporate governance matters and other legal and administrative projects as needed • Provide weekly status report with metrics to M&A team Who you are: • Bachelor's degree required • Minimum 3 years of corporate paralegal experience in a law firm or in-house legal department • Hands-on experience implementing or managing a global entity management software platform (experience with Diligent Entities platform is optimal) • Strong understanding of corporate governance, entity management, and M&A transactions • High level of proficiency in Excel, including the ability to filter, sort and abstract large volumes of complex information and generate reports, as well as overall proficiency with Microsoft Office Suite (including Word and Outlook) and familiarity with document management systems. • Highly organized with excellent attention to detail and accuracy • Ability to work independently and manage multiple priorities in a fast-paced environment • Strong interpersonal and communication skills What we give you: • An opportunity to fuel the creative journey on a global stage • A modern, diverse and innovative work environment, with offices that include collaboration areas, cafeterias, event spaces, and more • An investment in your learning & development The anticipated annual base salary does not include any other compensation components or other benefits that an individual may be eligible for. The actual base salary offered depends on a variety of factors, which may include as applicable, the qualifications of the individual applicant for the position, years of relevant experience, specific and unique skills, level of education attained, certifications or other professional licenses held, and the location in which the applicant lives and/or from which they will be performing the job. New York Pay Range $85-$100 USD
