Full Job Description
POSITION OVERVIEW:

Provide legal counsel and strategic guidance to business clients and leadership on complex technology transactions, including software, data and emerging technologies (e.g., AI/GenAI). This role is responsible for structuring, negotiating and managing agreements while proactively addressing legal, regulatory and operational risk. Serve as a key legal stakeholder in the company's AI governance framework, supporting oversight, policy development and responsible deployment of AI (Artificial Intelligence) technologies.

ESSENTIAL JOB DUTIES/RESPONSIBILITIES:
  • Serve as lead counsel on technology-related transactions, including: SaaS, cloud, software licensing, IT services agreements, data licensing, data sharing, analytics agreements, AI, machine learning and emerging technology solutions.
  • Advise business and technology teams on: Contract structuring, commercial strategy, risk allocation, regulatory and compliance considerations and responsible AI use and compliance requirements.
  • Coordinate with procurement, cybersecurity, privacy and compliance teams on third-party risk management and contracting.
  • Manage and oversee outside counsel on specialized technology transactions and disputes.
  • Serve as a core legal member of the AI governance committee.
  • Assist in establishing and refining AI governance policies, guardrails, operating model and decision framework.
  • Advise leadership on legal and regulatory risks related to AI adoption, deployment and commercialization.
  • Participate in AI use case review and approval processes. Perform risk classification and impact assessments and review of data inputs, outputs and model usage.
  • Provide legal guidance on AI related contractual provisions, data privacy, security and regulatory compliance in AI systems.
  • Monitor emerging laws, regulations and litigation risks related to AI and advise on required changes.
  • Promote a culture of compliance, ethics and responsible technology use.
  • Comply with all applicable laws/regulations, as well as company policies/procedure.
  • Perform other duties as required.

QUALIFICATIONS:
  • Juris Doctorate degree from an A.B.A. accredited law school and admission to the Bar plus ten (10) years' experience as an attorney with at least three (3) years' of experience practicing in technology transactions and/or commercial contracting
  • Demonstrated experience drafting and negotiating technology agreements (SaaS, licensing, data, cloud)
  • Strong understanding of Intellectual property, data privacy and security, and commercial risk allocation
  • Strong commercial and legal judgement
  • Ability to translate technical concepts into legal and business risk
  • Advanced negotiation and drafting skills
  • Strategic thinking with practical, business-oriented mindset with ability operate in a fast-paced, evolving technology environment
  • Prior in-house experience in a technology-heavy or regulated environment, preferred
  • Experience advising on Artificial intelligence/machine learning transactions or policies, data governance or cybersecurity matters, preferred
  • Familiarity with AI governance framework and emerging regulations, preferred
