Position: Senior Principal Legal Counsel - Debt and Equity Capital Markets
Location: Remote
Department: Legal
Reports to: Vice President, M&A and Corporate

Position Overview:

We are seeking an experienced and highly skilled debt and equity capital markets lawyer to join our in-house legal team. The ideal candidate will have at least 8 years of experience specializing in debt and equity capital markets transactions, securities regulations and reporting compliance. This lawyer will be responsible for providing strategic legal advice and counsel to senior management and cross-functional teams, handling complex capital markets transactions, legal oversight over credit facility matters, periodic reporting and securities compliance, along with regulatory and other corporate matters. This role will also involve direct oversight of regulatory filings required for debt and equity transactions, as well as general corporate matters. Key stakeholders will include executive leadership, corporate strategy, finance, tax, accounting, FP&A and legal cross-functional teams.

Key Responsibilities:

  • Debt and Equity Capital Markets Transactions: Lead and manage the legal aspects of debt and equity capital markets transactions and our credit facility, including debt refinancing and repricing transactions, amendments, IPOs, secondary offerings, private placements, and convertible securities offerings. This will also include supporting the equity and debt financing aspects in connection with our highly active M&A program.
  • Periodic Reporting and Regulatory Filings: Oversee and manage periodic reporting to our lenders and related regulatory filings. This includes leading and working with and managing outside counsel to prepare, review, and coordinate periodic reporting requirements with our lenders.
  • Securities Compliance: Advise on securities laws and regulations applicable to public and private offerings, ensuring compliance with all federal and state securities regulations, including working closely with and managing outside counsel to draft and file required SEC filings. In addition, this lawyer will also oversee and manage the submission of registration statements, prospectuses, and periodic reports required under the Securities Act of 1933, the Securities Exchange Act of 1934, and other relevant U.S. and international securities laws as may be required among our portfolio of businesses.
  • Corporate Governance: Advise on corporate governance matters and equity-related issues, including shareholder rights, relating to our capital structure.
  • Strategic Legal Counsel: Provide expert legal guidance to senior management and internal stakeholders on the structure, negotiation, and execution of capital markets transactions, both equity and debt. Collaborate with cross-functional teams, including corporate strategy, finance, accounting and tax departments.
  • External Counsel Management: Supervise and manage external legal counsel, ensuring the effective and efficient handling of credit, debt and equity capital markets-related legal matters, particularly in support of our M&A activity and lender reporting and securities filings and compliance.
  • Risk Management and Market Landscape: Assess and mitigate legal and regulatory risks associated with capital markets activities, including advising on market trends, changes in debt markets and securities laws, and best practices for reporting, filing and compliance.
  • Internal Training and Development: Provide training to internal teams on capital markets issues, regulatory filings, and the evolving debt, credit and capital markets landscape.

Experience:

  • At least 8 years of experience practicing as a capital markets attorney at a large law firm, with significant experience in debt and equity offerings and credit facilities as well as related reporting and filing requirements both with respect to issuers of debt and public companies.
  • Deep experience in debt and equity financing in connection with leveraged transactions.
  • Knowledge of corporate governance and compliance issues specific to debt issuers and public companies.
  • Strong substantive understanding of U.S. securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and other applicable regulatory regimes.
  • Broad understanding of the market landscape and familiarity with financial institutions, private equity, private credit and asset management.
  • Previous in-house experience is a plus, but not required.
