Job Description

Position Summary

The Corporate and Securities practice group is requesting the addition of a permanent senior paralegal to support the growth and expanded resource needs of the business unit. The New York office has recently onboarded four new attorneys, with additional lateral candidates actively in the pipeline. This growth in attorney headcount has created a level of transactional demand that exceeds the capacity of the current paralegal bench in New York, and this position is expected to be fully utilized both by the New York office and across the broader C&S business unit. Attorneys who have recently joined the group are lean on dedicated paralegal support relative to the volume and complexity of their practices, and this role will serve to close that gap. In addition to supporting current and incoming team members, adding this resource will alleviate the strain on our existing bench and strengthen the overall service delivery model for clients of the practice group. Finally, given the anticipated continued evolution of the team over the coming year, this role will serve an important succession and continuity function, ensuring that the business unit has the depth and stability necessary to absorb any changes without disruption to client service.

Primary Responsibilities
• Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley)
• Assist with management and maintenance of capitalization records
• Aid in drafting and filing federal and blue sky securities filings and notices
• Support attorneys in the preparation of formation and initial financing documents
• Corporate records maintenance, including minute books and Board of Directors minutes
• Assist in the preparation of closing documents and perform post-closing tasks
• Support deal closings, entity formation, and registration filings for clients

Qualifications:
• Bachelor's Degree, preferably in Business, Accounting, Finance, or related work experience
• 7 to 10 years of experience as a corporate/securities paralegal in a law firm environment
• Prior experience with Carta, Shareworks, Pulley, or other capitalization management software
• Demonstrated knowledge of capitalization fundamentals and securities law requirements
• Ability to read and interpret spreadsheets, plan documents, and security-related agreements
• Proficiency in Excel, including complex sorting/filtering, formulas, pivot tables, and data analysis
• Ability to maintain the integrity of highly confidential information
• ECA designation or CEP certification is a plus
• Excellent computer skills including DocuSign and MS Office (Word, Excel, Outlook)

The expected salary range for this position is $165k-$185k. Final compensation will be determined based on several factors, including but not limited to, relevant experience, qualifications, skill set, and geographic location.
