Full Job Description
Our client (a global law firm) is actively seeking a Senior Corporate Paralegal out of their Silicon Valley office.

Essential Duties and Responsibilities:

  • Assist with drafting documents necessary at all stages of a corporate transaction, including those related to formation, preferred stock and debt financings, equity transfers, mergers and acquisitions, entity structure conversions, and corporate dissolution.
  • Facilitate and support the lifecycle of a transaction, including tracking corporate approvals, signatures and deal deliverables, take ownership of transaction documentation, facilitate and manage closing process and documentation.
  • Prepare, draft, and file incorporation documents, state qualifications, IP assignment agreements and restricted stock purchase agreements (and prepare and file related 83(b) elections).
  • Own and manage capitalization platforms, including equity issuances, transfers, repricings, stock splits, conversions, etc.
  • Manage equity incentive plan and ensure related federal and state securities and tax compliance (e.g., Rule 701 compliance, Cal. Section 25102(o) compliance), including conducting Blue Sky securities compliance research and preparing and submitting related filings.
  • Analyze voting requirements, protective provisions, anti-dilution and preemptive rights, information rights and side letters for corporate transactions
  • Liaise with clients and equity holders on corporate and transaction-related matters.
  • Prepare and manage company data rooms and due diligence checklists in connection with corporate transactions.
  • Maintain equity holder and board/member consents and resolutions as part of corporate minute books and company records in electronic filing systems.
  • Conduct lien and litigation searches at federal, state and local levels.
  • Prepare and file UCC financing statements, including related exhibits.
  • Coordinate authentication of documents for use domestically and abroad, including Hague Convention and non-Hague Convention nations.
  • Prepare, draft, and file charter amendment documents for corporations, limited liability companies, and partnerships.
  • Assist with managing client audit responses.
    Knowledge, Skills and Experience:
  • Minimum 10 years of progressive responsibility in managing corporate transactions in a large law firm
  • Four-year degree or equivalent required
  • Paralegal certification required
  • Familiarity with UCC financing statements, filing components by jurisdiction, procedures, and lien searches
  • High level of proficiency with technology including DocuSign, Microsoft Office Suite, Carta, Pulley, Shareworks and similar capitalization management applications, Adobe Acrobat, other corporate records filing and transaction databases, and internet research tools
  • Excellent organizational skills, attention to detail, and ability to multi-task
  • Responsiveness to internal and external clients
