The Senior Corporate Counsel will take on a hands-on, high-impact role, collaborating with the Heritage Construction + Materials (HC+M) Legal + Compliance team and to build a legal function that delivers real solutions to our operating companies. The primary responsibilities of this role include commercial contracting, dispute resolution, and operational support for operating companies in the mining, asphalt manufacturing, road and bridge construction, and transportation infrastructure industries.

Essential Functions

  • Provides legal support with a high degree of autonomy, exercises sound independent judgment, and offers pragmatic legal strategies and solutions to appropriately mitigate risk
  • Identifies and analyzes legal issues, drafts key documents, and presents clear recommendations
  • Drafts, reviews, negotiates, and advises on a broad range of commercial contracts, including construction agreements (prime contracts, subcontracts, design-build contracts, alternative delivery contracts), sales agreements, services agreements, supply/vendor agreements, and transportation agreements
  • Advises on construction law including DOT-specific regulatory requirements, risk allocation, indemnification, and other general commercial terms
  • Manages dispute resolution and litigation, coordinates with claims personnel and outside counsel, and makes strategic recommendations regarding dispute and litigation strategy
  • Develops, implements, and maintains policies, procedures, and compliance frameworks
  • Advises on environmental, health, and safety regulatory compliance, including MSHA, OSHA, and environmental permitting requirements applicable to HC+M operations
  • Provides legal support to compliance matters, labor and employment matters, real estate transactions and zoning, and additional duties and responsibilities as assigned
  • Leverages legal operations software and AI tools to improve efficiency, quality, and overall delivery of legal support
  • Additional duties and responsibilities as assigned, including but not limited to continuously growing in alignment with the Company’s core values, competencies, and skills.

Education Qualifications

  • J.D. from an ABA-accredited law school and active bar admission in good standing required
  • Licensed to practice law in Indiana, active and in good standing


Experience Qualifications

  • 5+ years of experience in government, law firms, in-house legal, or a combination thereof
  • Strong experience in independently drafting, reviewing, and negotiating complex agreements, with the ability to apply sound judgment to support effective decision-making and issue resolution
  • Construction or manufacturing contract experience strongly preferred, including familiarity with DOT contracts and subcontracts
  • Experience with health, safety, and environmental law compliance in a construction, mining, or industrial context a plus
  • Experience with construction litigation, labor and employment, and/or real estate transactions and zoning a plus
