Full Job Description
JOB PURPOSE

Every Virtual Utility® deployment starts as a set of promises on paper: who guarantees uptime, who carries the risk when equipment underperforms, and which entity stands behind each obligation. As data center, C&I, and manufacturing customers move to on-site power and energy-as-a-service, those agreements get more complex, more frequent, and more important. The Senior Contracts Manager owns that work. Reporting to the General Counsel, you will negotiate customer, supplier, and finance agreements independently, and build the AI-assisted contract repository and entity management system a multi-entity energy company needs to scale.

RESPONSIBILITIES

Negotiation and Drafting
  • Draft, redline, and negotiate a high volume of sell-side customer agreements, including energy-as-a-service, energy services, master service, and long-term service and maintenance agreements
  • Negotiate supplier, equipment supply, and subcontractor agreements covering battery energy storage, power conversion, switchgear, and generation equipment
  • Manage counterparty negotiations through execution independently, escalating only high-risk terms to the General Counsel with a concise issue summary and recommended position
  • Support tax credit transfer, tax equity, and project finance documentation in partnership with Finance

Contract Operations and Technology
  • Build and maintain an AI-assisted contract database and searchable agreement repository, including key term abstraction, renewal and expiration tracking, and obligation alerts
  • Administer the contract workflow in DocuSign CLM from intake through approval, execution, and archiving
  • Develop templates, clause libraries, negotiation playbooks, and an approval matrix so routine agreements move without a legal bottleneck

Entity Management and Corporate Compliance
  • Maintain the database of subsidiaries, affiliates, assumed names, foreign qualifications, and jurisdictions across the e2Companies corporate structure
  • Track annual reports, registered agents, good standing, and fictitious name renewals so every entity stays in compliance
  • Support corporate formalities for LLCs and corporations, including written consents, resolutions, and signature authority records

Partnership and Handoff
  • Partner with Sales, Finance, and Operations to turn commercial terms into contract language that holds up after signature
  • Deliver executed contract abstracts to Project Managers, who own project execution, change order administration, and closeout, while this role keeps legal review of amendments and the legal record
  • Other duties as assigned


BASIC QUALIFICATIONS (MUST-HAVE):

  • Bachelor's degree or equivalent professional experience
  • 8+ years of commercial contracting experience, including sell-side negotiation of complex customer agreements
  • Proven track record of independently managing counterparty negotiations through execution with minimal attorney oversight
  • Experience with DocuSign CLM or a comparable contract lifecycle management platform
  • Experience building contract templates, playbooks, or intake processes
  • Working knowledge of entity management and corporate formalities for LLCs and corporations
  • Strong command of core risk provisions, including indemnification, limitation of liability, warranties, performance guarantees, liquidated damages, and insurance
  • Clear, concise written communication, including issue summaries for legal leadership


PREFERRED QUALIFICATIONS (NICE-TO-HAVE):

  • Experience in energy, energy storage, electrical equipment, manufacturing, construction, or infrastructure
  • Sell-side experience with long-term service or energy-as-a-service agreements
  • Experience supporting tax credit transfer, tax equity, or project finance transactions in clean energy
  • Experience applying AI tools to contract review, abstraction, or repository management
  • Familiarity with HubSpot or another CRM platform
  • NCMA certification (CPCM or CCCM)
