Description

About the Role

Jimerson Birr is seeking a Senior Business Advisory & Transactions Attorney for our General Business Advisory team. The Senior Attorney will serve as day-to-day counsel to business clients: handling the regulatory, employment, intellectual property, and commercial questions that come up constantly and cannot wait for a quarterly review.

This is advisory work with real breadth. In a given week you might clear a trademark, review a vendor's security addendum, walk a client through a separation, respond to an agency audit, and turn a contract around in a day. You move fast without getting sloppy, and you know which of those five things actually carries risk.

The part that distinguishes this seat: you build things that keep working after you leave the room. A compliance program with real policies, training, and an audit cadence. A trade secret hygiene protocol tied to onboarding and offboarding. An incident response playbook a client can actually run at 2 a.m. Much of this work is framework-building, and the clients who value it most are the ones who keep you close!

What You'll Do

Own the Work

Serve as on-call counsel to business clients: fast-turn contract review and negotiation, vendor risk and security addenda, dispute prevention, demand letters, and the judgment calls that surface between larger projects. Your Team Leader sets matter mix and priorities; you run the legal execution.

Handle regulatory compliance and licensing across regulated industries: compliance reviews and filings, state and local business and professional licensing, license transfers, and defense of complaints, investigations, and disciplinary actions.

Respond to agency investigations and audits, and advise on workplace safety and OSHA compliance, advertising and marketing review in regulated industries, government procurement, bid protests, and economic development incentives.

Advise on employment matters: handbooks and policy suites, employment and independent contractor agreements, restrictive covenants and confidentiality terms, discipline, separations, releases, restructuring, and support for workplace investigations.

Protect the brand: trademark strategy, clearance screening, and USPTO filings; brand use guidelines and policing; pre-litigation cease-and-desist work; copyright assignments, work-for-hire terms, and licensing; and domain name disputes.

Serve as the primary client contact on most of your matters, with the judgment to escalate when risk, budget, or strategy shifts.

Build the Program and the System

Build durable programs, not one-off answers. Compliance program design with policies, training, and audit cadence; trade secret and confidentiality controls; operational legal audits across contracts, compliance, and HR; policy and process mapping; codes of conduct and conflicts policies; data privacy and cybersecurity incident response playbooks.

Mentor junior attorneys and paralegals. Delegate real work, then follow up with instruction and feedback that actually moves someone forward.

Improve the machine. Bring at least one concrete improvement a week to our matter plans, clause libraries, templates, technology, or legal products. Shaping the system is part of the job here, not a side project.

Hold the line on timekeeping, service commitments, budgets, and on-plan execution - in your own work and in what you delegate.

Deepen the Client Relationship

Spot what's next. Identify and document adjacent legal needs as you work; in advisory work you see the whole business, which means you see the problems before the client names them.

Run disciplined alignment conversations at the start of a matter and throughout, so scope, timeline, and expectations never drift.

Stay in front of your clients with proactive outreach that isn't tied to an open matter, and support pitches and cross-selling as those relationships develop.

What You'll Bring

› JD and an active Florida Bar license.

› 5+ years of business advisory, regulatory and compliance, employment, or intellectual property practice.

› A track record of managing matters independently: budget discipline, accurate scoping, and reliable delivery without daily supervision.

› Precision drafting: clean documents, consistent defined terms, and no loose ends.

› Comfort communicating directly with clients, counterparties, agencies, and regulators.

› The ability to work inside a structured system, and the instinct to improve it rather than route around it.

› Sound triage judgment: you can tell a five-minute question from a five-figure risk.

› Comfort delegating real work and following up on it.

Preferred Qualifications

› Administrative law or licensing practice before state or local agencies.

› USPTO trademark prosecution experience.

› Employment counseling experience on the advisory side, not primarily litigation.

› Depth in a regulated industry: construction, healthcare, financial services, or similar.

› Experience building a compliance program from scratch rather than maintaining one.

› Georgia Bar admission or willingness to seek it.
