Full Job Description
We are seeking an Executive Director Transactor to help grow our Private Share and Programmatic Lending (PSL) business within the Private Bank. This new senior role will originate and structure liquidity solutions for employees and executives of Morgan Stanley's key institutional and corporate clients, with a primary focus on private company stock and other alternative asset collateral tied to employment. The Executive Director Transactor will serve as the central coordinator across Issuers (corporate clients), internal Morgan Stanley teams, and third-party funding sources (including hedge funds and private equity firms) to arrange participation and syndication structures. In addition to transaction execution, the role will drive business development, build strategic relationships with corporate issuers and capital providers, and contribute to the overall growth and positioning of the PSL platform. Position Summary The Executive Director Lending Transactor will act as a senior product and sales partner to Private Bankers, Private Wealth Financial Advisors, the Morgan Stanley at Work team, and PSL leadership. This individual will lead the origination, structuring, and execution of Private Share Lending transactions while coordinating complex, multi-party deals involving corporate issuers and external capital providers. The role requires strong commercial acumen, deep credit and structuring expertise, and the ability to navigate relationships across issuers, internal stakeholders, and third-party investors. Responsibilities will include: - Lead the origination and structuring of Private Share Lending transactions by identifying opportunities with corporate issuers and their employees/executives, assessing alignment with approved PSL programs, and coordinating across internal and external parties. - Serve as the primary point of coordination between Issuers (corporate clients), Morgan Stanley banking and wealth management teams, Credit Risk Management, and third-party funding sources to structure and execute participation, syndication, or co-lending arrangements. - Perform comprehensive due diligence on lending opportunities, including evaluation of the client's financial profile, analysis of proposed collateral (with particular focus on late-stage private company stock), and assessment of issuer credit quality and market factors that may impact valuation. - Identify key risks and mitigants, develop creative and effective deal structures, and negotiate term sheets in coordination with internal partners and external capital providers. - Manage the preparation of high-quality credit memoranda that clearly articulate transaction rationale, issuer credit analysis, collateral considerations, strengths, risks, mitigants, and proposed structures for internal approval and external investor discussions. - Efficiently manage the full transaction lifecycle-from initial opportunity through credit approval, documentation, closing, funding, and ongoing monitoring-ensuring seamless coordination with all internal and external stakeholders. - Build and maintain senior-level relationships with corporate issuers and key decision-makers to generate pipeline and deepen Morgan Stanley's position in the private share lending market. - Develop and manage relationships with third-party capital providers (hedge funds, private equity, and other institutional investors) to expand funding capacity and optimize participation structures. - Actively manage and grow a robust deal pipeline while balancing competing priorities and client/third-party expectations. - Represent the PSL team in internal forums, client meetings, and external industry events to increase product awareness and originate new opportunities. - Mentor and develop junior colleagues on the team, contributing to a high-performing, collaborative culture. - Lead or support strategic initiatives and projects aimed at enhancing deal flow, improving operational efficiency, expanding third-party funding relationships, or refining PSL product offerings. Qualifications - Minimum 8-10 years of relevant experience in private bank lending, alternative asset lending, structured finance, or investment banking with a focus on complex lending transactions and/or capital markets distribution (experience with private share lending, employee liquidity programs, or similar products strongly preferred). - Proven track record of originating and structuring sophisticated lending transactions, including experience coordinating or syndicating with third-party capital providers. - Bachelor's degree required; Master's degree, CFA, or other relevant professional designation preferred. - Strong ability to read, interpret, and analyze corporate financial statements, private company information, and collateral valuation dynamics. - High level of focus on work quality, attention to detail, and accuracy in credit and structuring analysis. - Exceptional written and verbal communication skills, with the ability to clearly and professionally articulate complex credit assessments, deal structures, and recommendations to sophisticated internal and external audiences (including corporate issuers and third-party investors). - Strong executive presence and interpersonal skills to build and maintain senior-level relationships with corporate clients, issuers, and external capital providers. - Demonstrated creativity, sound judgment, and problem-solving ability in structuring complex, multi-party transactions. - Ability to balance commercial and revenue objectives with appropriate risk management and Morgan Stanley credit standards while delivering solutions that meet client and issuer needs. - Significant accounting, finance, and credit knowledge. - Proven ability to manage multiple complex transactions simultaneously, meet deadlines, and effectively manage expectations across diverse internal and external stakeholders. - Strong leadership and mentoring capabilities with experience developing and guiding junior colleagues. - Ability to collaborate effectively in a matrixed, team-oriented environment across business units and functions. - Proficiency with Microsoft Excel, PowerPoint, and internal credit and origination systems/tools. - Comfortable operating in a fast-paced, evolving product and market environment with a high degree of initiative and ownership. Expected base pay rates for the role will be between $150,000 and $250,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
