Loeb & Loeb LLP seeks an Associate with a minimum of two years of relevant experience to join our Nonprofit and Exempt Organizations Practice in our New York office.
As part of our team, the incoming associate will work closely with experienced partners, advising a broad range of nonprofit and tax-exempt clients at every stage of the organizational lifecycle. Our group serves as outside counsel to public charities, private foundations, and other tax-exempt entities, including many of the nation's leading nonprofit organizations in education, healthcare, science, arts and culture, human services, civil rights and all aspects of philanthropy.
We provide sophisticated counsel on corporate, transactional, governance, and tax matters, and routinely collaborate with attorneys across the firm-including those in Private Client, Sports, Entertainment, Family Office, IP, Advanced Media & Technology, Employment, Corporate, Bankruptcy and Litigation. Associates are integral members of our practice, with frequent client engagement and opportunities for public speaking, writing, and professional leadership within the nonprofit sector.
Key responsibilities include
- Assisting with the incorporation of nonprofit entities, drafting organizing documents, and preparing applications for 501(c) tax-exempt status with the IRS
- Drafting and negotiating grant agreements, fiscal sponsorship arrangements, and joint venture documents
- Advising on mergers, asset sales, and dissolutions of nonprofit entities, including seeking Attorney General and/or court approval, and preparing necessary petitions and applications
- Counseling clients on fiduciary duties, conflicts of interest, and best practices under New York State Not-for-Profit Corporation Law
- Advising on charitable solicitation registration requirements, IRS intermediate sanctions rules, and other federal and state regulatory matters
We seek candidates eager to develop a broad range of skills, including legal research and writing, drafting corporate documents and exemption applications, advising on governance matters, and assisting with tax compliance. The ideal candidate will possess outstanding communication and analytical skills, meticulous attention to detail, effective organization, strong interpersonal skills, and the ability to manage multiple projects and stakeholders.
Candidates should have corporate, governance, transactional, or tax experience, with a particular focus on the laws governing nonprofit and tax-exempt organizations. Experience may be gained through private practice, government service, or nonprofit sector work (in-house counsel). Superior academic credentials and admission to the New York bar are required.
The salary range for this position is $235,000 to $305,000 annually, with actual compensation dependent on experience and other relevant factors.
