The Role

Scotiabank is seeking an experienced leveraged finance, syndicated loan, agency services, or loan operations professional to support the ongoing growth of the Bank's Leveraged Finance platform.

This role requires direct experience supporting broadly syndicated Term Loan B (TLB) facilities, including experience supporting transactions where the institution acted both as a participant and as an Administrative Agent.

Level and title will be determined based on the successful candidate's experience, leadership capability, and depth of relevant product and operational knowledge.

This role will support leadership and execution across key aspects of the leveraged finance and syndicated lending operating model, including loan closings, amendments, agency servicing, loan trade settlements, deal administration, operational controls, process improvement, and platform governance.

Working closely with Front Office, Credit Risk, Legal, Treasury, Technology, Compliance, and Operations partners, the successful candidate will help support and enhance scalable operating capabilities across North America.

1. Strategic Leadership & Business Support
  • Lead and/or support operational activities associated with leveraged loans, syndicated credit facilities, revolving facilities, term loans, and other corporate lending products. Scope of responsibility will be aligned with the successful candidate's experience and role level.
  • Develop and/or support execution of the operational strategy required to support the expansion and growth of the Leveraged Finance platform.
  • Serve as a key operations partner to Leveraged Finance Origination, Syndications, Capital Markets, and Credit teams.
  • Build scalable operating models, procedures, and technology solutions to support increasing transaction volumes and product complexity.
  • Represent Loan Operations, as appropriate, on governance committees, strategic initiatives, and regulatory examinations.


2. Agency Servicing & Platform Governance
  • Lead or support oversight of agency servicing activities for leveraged finance facilities where the bank serves as Administrative Agent.
  • Ensure accurate management of borrower notices, lender communications, interest calculations, fee processing, rate resets, amendments, waivers, and voting processes.
  • Develop and oversee governance standards for agency systems and platforms, including SyndTrak and related lender communication tools.
  • Establish controls around:
    • User access management
    • Document approvals
    • Document sourcing and validation
    • Audit trails and record retention
  • Design scalable operating procedures and service-level expectations in coordination with GWO CLS Management.
  • Maintain strong relationships with borrowers, sponsors, legal counsel, lenders, and external service providers.
  • Establish operating procedures to support growing agency mandates and market-facing responsibilities.
  • Ensure compliance with credit agreements, market standards, and internal policies.
  • Drive continuous improvement initiatives focused on automation, risk reduction, and operating efficiency.
  • Partner with Technology to evaluate future-state workflow and digital solutions.


3. Loan Closing & Transaction Management
  • Lead and/or coordinate teams responsible for the closing and settlement of primary loan transactions where BNS is Agent.
  • Adhere to all LSTA and LMA market standards
  • Oversee operational readiness and execution for new deals, amendments, repricings, refinancings, and restructurings.
  • Coordinate closely with Legal, Front Office, Credit, Compliance, KYC, and Treasury teams to ensure timely deal funding.
  • Ensure satisfaction of funding conditions and completion of all closing requirements prior to transaction settlement.
  • Establish and monitor key performance indicators related to closing efficiency, accuracy, and client service.


4. Deal Administration
  • Provide leadership over the ongoing administration of syndicated and bilateral loan portfolios.
  • Oversee borrower onboarding, facility setup, covenant monitoring support, payment processing, and maintenance of loan records.
  • Ensure accurate capture and maintenance of legal terms within servicing platforms.
  • Lead operational support for amendments, transfers, assignments, lender changes, and portfolio events.
  • Lead the administration, posting, maintenance, and retention of transaction documentation, including:
    • Compliance certificates
    • Historical financial statements
    • Borrower reporting packages
    • Other required lender communications and supporting materials
  • Drive continuous process improvements to enhance efficiency and reduce operational risk.


5. Investor Coordination
  • Ensure effective operational coordination for incoming lender and investor inquiries.
  • Administer routing, tracking, and escalation of investor requests to the appropriate internal stakeholders.
  • Maintain clear governance procedures for handling inquiries and information requests.
  • Ensure substantive credit, business, and relationship responses remain the responsibility of Leveraged Finance Bankers and designated deal teams.
  • Monitor inquiry trends and identify opportunities to improve communication processes and service standards.
  • Support periods of elevated activity, including restructurings, amendments, distressed situations, or other heightened investor-engagement events.


6. Risk Management & Controls
  • Help establish and maintain a strong risk and control framework across loan operations activities.
  • Ensure adherence to regulatory requirements, internal policies, operational risk standards, and audit expectations.
  • Lead or support issue identification, remediation efforts, and control enhancement initiatives.
  • Manage operational incidents, root cause analysis, and corrective action plans.
  • Support internal audits, regulatory examinations, and governance reporting.


7. Technology & Transformation
  • Partner with Technology and GWO CLS Operations Transformation teams to enhance loan servicing and agency platforms.
  • Champion and help drive automation initiatives, workflow digitization, and operational efficiency programs.
  • Define target-state operating models and support implementation of new systems and operational capabilities.
  • Utilize management reporting and data analytics to optimize performance and capacity planning.


8. People Leadership & Influence
  • Lead, develop, mentor and/or influence teams supporting agency servicing, loan closing, and deal administration activities.
  • Collaborate effectively across Front Office, Operations, Technology, Legal, Compliance, Risk, and Finance partners.
  • Contribute to staffing, organizational planning and operational capability development as appropriate to role level.
  • Participate in governance, reporting, operational reviews, and strategic initiatives.
