Position Overview

Sagard is seeking a highly organized and proactive Legal Operations and Transactions Manager to support the execution, coordination, and administration of investment, fund, and corporate transactions across Sagard's alternative investment strategies, including venture capital, growth equity, private credit, and other private market investments. This individual will also play a key role in advancing Sagard's legal operations function by leveraging technology, data, and process innovation to enhance the efficiency, scalability, and strategic impact of the legal team.

This role operates at the intersection of legal, investment operations, technology, and transaction execution, partnering closely with investment professionals, internal legal counsel, external advisors, portfolio companies, finance teams, and senior leadership. The ideal candidate brings a strong operational mindset, is detail-oriented, solutions-driven, and highly discreet, thriving in a fast-paced and entrepreneurial environment with exceptional organizational skills, comfort with legal technology, and the ability to manage multiple concurrent deadlines and priorities.

Compensation range: CAD$100,000 to CAD$130,000, depending on experience and location.

Responsibilities
  • Coordinate and support transaction closing processes across venture capital, private equity, private credit, and fund-level transactions, including equity financings, debt investments, restructurings, secondary transactions, co-investments, redemptions, and exits.
  • Prepare, organize, and distribute transaction documentation, signature packages, execution versions, and closing binders.
  • Maintain and track transaction checklists, conditions precedent, closing deliverables, and post-closing obligations.
  • Coordinate execution logistics among investment teams, internal legal counsel, external law firms, portfolio companies, counterparties, tax advisors, compliance teams, fund administrators, and other service providers.
  • Review, format, and manage ancillary legal documentation, including NDAs, board resolutions, officer and incumbency certificates, consent resolutions, subscription documents, and side letters.
  • Support transaction due diligence processes by organizing legal documentation, maintaining virtual data rooms, coordinating information requests, and leveraging AI-assisted due diligence and document review tools to accelerate analysis and improve accuracy.
  • Assist with fund formation, financing arrangements, and corporate restructuring initiatives, including supporting the preparation, negotiation, and management of fund documentation such as limited partnership agreements, subscription documents, side letters, and investor onboarding materials.
  • Support M&A and strategic transaction activity, including coordinating deal workflows, managing signing and closing mechanics, tracking deal-related deliverables and milestones, and assisting with post-closing integration tasks and purchase price adjustment processes.
  • Support entity management and corporate governance activities across Sagard entities and portfolio investments, including corporate records, governance databases, cap tables, and legal documentation systems.
  • Assist with regulatory, compliance, KYC, BOI, AML, and corporate information requests across multiple jurisdictions.
  • Help develop, document, and improve legal operations workflows, transaction management processes, and document management practices, including identifying and implementing process improvements, automation opportunities, and technology solutions.
  • Evaluate, implement, and optimize legal technology platforms to enhance the legal team's efficiency and strategic capabilities.
  • Track key deadlines, filing obligations, action items, and follow-ups across multiple concurrent projects and transactions, and manage confidential correspondence with professionalism and discretion.


Qualifications
  • 10+ years of experience in a law firm, investment firm, or in-house legal department, preferably within private equity, venture capital, asset management, or corporate law.
  • Demonstrated experience with corporate transactions, legal documentation, governance processes, and transaction closing coordination; experience supporting complex transactions in venture capital, private credit, private equity, M&A, fund formation, or alternative investments environments is strongly preferred.
  • Excellent organizational, project management, and prioritization skills with the ability to manage multiple deadlines simultaneously.
  • Proven ability to lead legal operations initiatives.
  • Strong attention to detail and commitment to accuracy and confidentiality.
  • Excellent written and verbal communication skills with the ability to interact professionally with senior stakeholders and external advisors.
  • Highly proactive, resourceful, and capable of working independently in a fast-paced environment.
  • Advanced proficiency in Microsoft Office and document management systems; familiarity with Carta, DocuSign, or similar platforms is considered an asset.
  • Demonstrated interest in and aptitude for legal technology and AI-driven solutions.
  • Bachelor's degree, paralegal certificate, legal operations experience, or equivalent transactional and legal administrative experience preferred.

  • For all positions in Québec, proficiency in French and English, both spoken and written, is mandatory. English is required due to regular interaction with colleagues and external partners outside Québec.
