Full Job Description
Corporate Title: Vice President

Department: Legal

Location: New York- midtown (Hybrid)

The base pay range for this position at commencement of employment is expected to be between $175K and $225K/year* (see below footnote for additional compensation and benefits information)

Role description:
  • Drafting, reviewing and negotiating a variety of agreements relating to asset management and private credit transactions, including but not limited to master participation agreements, credit agreements, collateral documents, subscription documents, NDA's, side letters and fund documentation.
  • Provide legal advice and support regarding structured credit matters and investments.
  • Performing legal analysis of risks associated with the terms and conditions of such agreements and effectively communicating to the business;
  • Assistance with ad-hoc legal projects, review of marketing materials, and policies and procedures;
  • Provide advice and counsel to business teams on legal matters affecting the business;
  • Researching, advising and assisting in the structuring, regulatory analysis and launch of new products;
  • Interpreting and assisting with the implementation of regulatory changes (both US and international) that impact asset management.


Skills, experience, qualifications and knowledge required:
  • Law Degree /Juris Doctor;
  • At least 5 years' experience working in the financial services industry either in-house or within a law firm with emphasis on private credit transactions;
  • Must have strong contract drafting and negotiation skills across a wide range of complex private credit transactional agreements;
  • Ability to work independently, multi-task and manage numerous projects simultaneously under tight deadlines;
  • Proficiency and extensive knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, the Investment Advisers Act of 1940, and other regulations tied to the asset management space;
  • Ability to work independently in a fast-paced environment and respond proactively to business needs;
  • Excellent communication and interpersonal skills, high comfort level interacting effectively with all levels of staff and management;
  • Team player with strong organizational and time management skills in order to prioritize complex and time sensitive projects.

*base pay offered may vary depending on multiple individualized factors, including market location, corporate and functional title and duties, job-related knowledge and advanced degrees, skills, and experience.
