Legal Counsel, Commercial

BetterUp | Full-Time | Hybrid | San Francisco, CA

This role is based in San Francisco, CA. We are a hybrid company with a focus on in-person collaboration when necessary. Employees are expected to be available to work from our San Francisco hub at least two days per week, or eight days per month. The Opportunity

Reporting to the Associate General Counsel, Commercial, we are looking for a Legal Counsel, Commercial who brings enterprise contracting expertise and the commercial judgment to operate as a true business partner at scale.

This role is for a lawyer who thrives on complexity, earns trust with Sales and GTM leadership quickly, and brings a market-informed perspective to every negotiation. You will own a portfolio of enterprise SaaS and Professional Services deals, while also building the playbooks and standards that make the whole team faster. Every negotiation should make the next one easier-not just for you, but for the team.

What You'll Do
Deal Execution & Commercial Leadership
  • Own end-to-end negotiations of enterprise SaaS agreements, Professional Services contracts, SOWs, and strategic partnerships across BetterUp's US and international customer base
  • Manage complex, high-value deals on customer paper-navigating structural amendments, bespoke enterprise terms, and sophisticated procurement processes with speed and precision
  • Partner closely with Sales leadership as a trusted commercial advisor, providing real-time guidance on deal structure, risk, and positioning throughout the sales cycle
  • Manage the in-life legal relationship on BetterUp's most strategic accounts, where commercial obligations do not end at signature
  • Bring a market-informed perspective on what enterprise customers expect in commercial contracting and keep BetterUp's terms current and competitive
  • Support cross-functional teams on product-aligned commercial terms, data commitments, and AI-related contractual provisions
  • Own and continuously improve commercial contract playbooks, translating live negotiation experience into clear fallback frameworks that empower the team to move decisively


Legal Operations & Systems
  • Implement and optimize CLM systems to track agreements, key terms, and renewal cycles
  • Build dashboards providing real-time visibility into deal flow and bottlenecks
  • Lead development of templates, automation, and workflows that streamline the commercial lifecycle


Risk Management & Governance
  • Identify and manage legal risks related to commercial activities, data commitments, AI technologies, and customer obligations
  • Shape commercial policies that balance compliance, operational needs, and business growth


Template Modernization & Product Evolution
  • Lead refresh of contract templates to reflect new products, AI capabilities, and data governance requirements
  • Collaborate with Privacy, AI Governance, and Product teams to translate regulatory requirements into defensible contract language
  • Monitor market trends and competitive positioning to keep BetterUp's contracting approach current and commercially viable

  • 3-5 years of post-admission experience in commercial law, with a focus on enterprise SaaS agreements, Professional Services contracts, and complex B2B transactions
  • Demonstrable experience managing high-volume deal flows independently, including deals on customer paper with structural amendments
  • A track record of building things-playbooks, clause libraries, templates, or decision frameworks-not just advising on them
  • Genuine fluency in legal technology; experience with CLM platforms (Ironclad, Salesforce-native, or equivalent) is a plus
  • Strong working knowledge of GDPR, CCPA, and AI governance requirements-with the ability to lead drafting and negotiation of privacy and AI-related contract terms in enterprise deals, not just flag issues for others to resolve
  • Familiarity with cross-border data transfer frameworks and how they intersect with commercial contracting is a plus
  • Strong commercial judgment-you know when to hold a position and when to find a creative path forward
  • Clear, confident communication skills; you can distil complexity for Sales, Finance, and senior leadership without losing precision
  • Collaborative, low-ego approach with a track record of building trusted relationships across functions
  • Hands-on experience using AI tools to accelerate contract drafting and review-such as Claude, Harvey, Ironclad AI, or similar-and a genuine interest in pushing the boundaries of what those tools can do in a commercial legal context
  • An eye for the systemic-you naturally think about how to make the next deal faster before the current one has closed
