MGT Insurance is seeking a Head of Legal to build and lead the legal function for our AI-native commercial P&C carrier. Reporting directly to a Co-CEO, this role will have company-wide legal responsibility that spans corporate, compliance, transactional, and regulatory matters.
You will be MGT's senior-most legal voice, advising the executive team and board on regulatory strategy, general corporate legal issues, and transactions. This is a build role: you will establish MGT's legal function, policies, and governance infrastructure from the ground up, while also being hands-on with the day-to-day legal questions that come from an insurance company operating across dozens of states with an evolving product footprint.
What You'll Do
• Serve as MGT's senior-most legal advisor; counsel the CEO, executive team, and board on legal risk, regulatory strategy, and major business decisions
• Own MGT's regulatory compliance program: state insurance department relationships, licensing, market conduct, rate and form filings, and multi-state compliance requirements
• Where needed, work with Claims leadership to advise on litigation strategies and review external counsels' recommended
• Structure and negotiate legal agreements supporting corporate development activity such as partnerships, reinsurance contracts, carrier agreements, MGA arrangements, and M&A transactions
• Manage outside counsel relationships across litigation, regulatory, and transactional matters through selecting, directing, and controlling cost and quality
• Continue to support the buildout ofMGT's corporate governance infrastructure. Corporate records, entity management, and policies required of a regulated insurance carrier
• Advise Product and Underwriting on legal and regulatory implications of new products, states, and appetite expansions before launch
• Own MGT's contract review and management functions including vendor agreements, technology contracts and data/privacy agreements
• Build and, over time, lead a small, AI-enabled, legal and compliance team as MGT scales
What You Bring
• J.D. and active bar membership in at least one U.S. state
• 10+ years of legal experience with significant exposure to P&C insurance preferred
• Track record advising executive teams and boards on legal risk and strategic decisions
• Experience managing outside counsel relationships across multiple practice areas
• Comfortable operating a build-from-scratch legal function establishing process and governance rather than inheriting an established department
Preferred Qualifications
• Prior in-house experience at a P&C carrier, MGA, or insurtech, ideally in a senior or sole legal leadership capacity
• Experience advising on or litigating coverage disputes, claims handling exposure, and policy interpretation matters
• EDirect experience with state insurance regulatory compliance: licensing, rate and form filings, market conduct examinations, and multi-state regulatory relationships
• Experience with corporate transactions - M&A, strategic partnerships, or capital raises
• Familiarity with AI/algorithmic underwriting regulation and emerging insurance technology regulatory frameworks
• Experience building legal or compliance functions from an early stage at a high-growth company
• Admitted and E&S/surplus lines regulatory experience
Location
Hybrid minimum 3 days a week onsite based in Denver, CO, Madison, WI, or San Francisco, CA
Compensation
The base salary range for this role is $190,000 - $270,000 annually. Compensation will depend on qualifications, experience, and location. This role is also eligible for performance-based bonus and equity, in addition to a comprehensive benefits package.
