Job Description

We are seeking a new experienced Senior Counsel to lead the Canadian Brookfield Office Properties legal team. This role serves as General Counsel for Office Properties in Canada and is accountable for all legal matters impacting the business across Canada and providing strategic legal leadership in support of organizational objectives.

Key responsibilities include leading and developing the Canadian legal team, overseeing external legal service providers, and acting as a trusted advisor to senior management nationwide. The General Counsel will also take the lead on matters of national significance, ensuring robust governance, effective risk management, and alignment between legal strategy and business priorities across Canada.

Role & Responsibilities:
  • Act as senior legal advisor across all major commercial real estate transactions, including acquisitions, dispositions, joint ventures, development, construction, leasing, and financings, providing strategic and commercially sound legal counsel to executive and business teams

  • Lead the in-house drafting, review, negotiation and interpretation of complex commercial leases and other lease related documentation

  • Collaborate with internal teams, including asset management, leasing, finance, operations, marketing, tax, and executive leadership to provide legal guidance and implementation of business initiatives

  • Advise on lease enforcement and insolvency related matters and implement pre-litigation enforcement proceedings as needed

  • Proactive advice on emerging legal, operational, and risk considerations

  • Lead and develop the Canadian Legal team, including talent management, mentoring, and performance leadership

  • Retain, manage and work with external legal counsel and service providers, including oversight of litigation files and insurance matters. Oversee legal enablement of operational platforms (such as lease administration systems and document management systems) and support the development and implementation of Canadian corporate policies

  • Participate in enterpriselevel performance management and review processes

  • Identify and mitigate legal, business and operational risks

Your Qualifications:

EXPERIENCE:

  • 10-15+ years of senior legal experience with deep focus on large scale Canadian commercial real estate and commercial leasing

  • Proven leadership experience within a large corporate real estate owner/operator, asset manager, pension fund, institutional investor, or leading law firm

  • Extensive expertise across acquisitions, dispositions, commercial leasing, development, joint ventures, financings, and asset management

  • Demonstrated ability to advise executive teams on complex legal, regulatory, and risk matters

EDUCATION/DESIGNATIONS/LICENSES:

  • Juris Doctor (JD) or Bachelor of Laws (LLB) from an accredited Canadian law school

  • Member in good standing with a Canadian provincial or territorial law society (e.g., Law Society of Ontario); multi-jurisdictional experience within Canada is an asset

TECHNICAL & LEGAL PRACTICE SKILLS:

  • Expertise in real estate financing and capital markets, including mortgage bonds, credit facilities, and private placements; strong familiarity with OMs, trust indentures, and key debt structures

  • Proven ability to lead complex office leasing transactions, including negotiation of leases and LOIs

  • Experience in joint venture structuring and governance, including partnership and shareholder agreements, capital structures, and investor rights

  • Strong capability in development and construction matters, including development agreements, CCDC/GMP contracts, and regulatory (zoning, permitting, environmental) frameworks

  • Track record in acquisitions and dispositions, including PSAs, due diligence, and negotiation of reps, warranties, and indemnities

  • Solid understanding of governance, regulatory compliance, and enterprise risk management within a real estate environment

  • Ability to lead and manage external counsel and financial counterparties, ensuring alignment with internal business teams

  • Knowledge of IManage and lease administration platforms such as VTS and Yardi is an asset

  • Advanced Microsoft Word/Outlook
