Deputy Chief Financial Officer and Chief Accounting Officer

As a part of the NetREIT team, the Deputy CFO and CAO is key to NetREIT’s financial reporting, finance and operations functions. The position involves partnering closely with MSREI’s investment and capital markets teams and working with NetREIT's independent auditors, board of trustees, outside counsel, tax advisor, fund administrator, valuation advisor, transfer agent and other vendors as well as with MSIM's in-house finance, legal, tax, risk and compliance teams.

Responsibilities:

  • Lead Financial Reporting Function
    • Oversee monthly NAV determination and disclosures in offering documents, shareholder statements and marketing materials
    • Responsible for Quarterly GAAP financial statements and related footnotes and SEC filings including Form 10-K / Q, 8-K and 3-14
    • Act as primary contact with independent auditors
    • Navigation of technical accounting concepts (e.g. ASC 805, 810, 815, 842, 323 & 326)
    • Prepare meeting materials for and present to the Board of Trustees and Audit Committee
  • Lead Tax Compliance and Planning
    • Liaise with external tax advisers to optimize tax efficiency and ensure REIT compliance
    • Planning for and managing REIT distribution tax characteristics (e.g. ROC, PPA/Cost Seg) and implications for offshore investors
    • Administer tax compliance calendar (federal and state) including review of returns and 1099s in coordination with MSIM in-house tax team
  • Operations and Internal Controls
    • Oversee monthly operational process including portfolio-level cash activity, loan servicing, REIT distributions, subscriptions and redemptions
    • Act as primary contact with fund administrator
    • Review monthly valuation process and preparation of portfolio level Valuation Committee materials in conjunction with Asset Management team
    • Maintain compliance with SOX 404(a) including internal control evidence, risk and controls matrix, process narratives and flowcharts
    • Primary contact with MSIM internal audit
  • Transaction Support
    • Support investment closings coordinating between investment and asset management teams and service providers, including reviewing purchase price allocations
    • Support Capital Markets team on asset level and corporate level financing transactions
    • Thoughtful deal / entity structuring for optimal accounting / NAV outcomes, REIT compliance and tax efficiency (international and interstate)
    • Support distribution and fund raising initiatives and due diligence processes (DDQs) for wire-house and RIA distribution channels (e.g. Mercer ODD)
  • Team Management
    • Manage and mentor other finance team members
    • Day-to-day management of vendor relationships (Fund Administrator, Property Manager/Accountants, Valuation Advisor and Transfer Agent)

Qualifications:

  • 10+ years of experience in public accounting and in a finance leadership role
  • Expertise in public company/SEC registered issuer reporting (Active Disclosure is a plus)
  • Familiarity with commercial real estate and fair value (“NAV”) accounting
  • Familiarity with REIT compliance and real estate related tax matters
  • Strong oral and written communication skills; professional presence in meetings with senior management, independent auditors, board and audit committee members
  • Ability to work within a team and under tight deadlines with minimal supervision
  • Ability to effectively prioritize and handle multiple tasks
  • BA/BS required
  • CPA preferred; Big 4 experience strongly preferred

Expected base pay rates for the role will be between $225,000 and $275,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
