The Impact You Will Have in This Role

The Executive Director, Associate General Counsel will serve as a senior legal advisor supporting legal and regulatory matters that impact DTCC's financial market infrastructure businesses; including, for example, issues related to risk management; bankruptcy, insolvency and default issues impacting clearing agency participants; and clearing agency recovery and wind-down planning. This role will provide practical, business-facing legal advice to senior stakeholders and cross-functional partners within NSCC and FICC, including the business, treasury; market, financial risk management; default management and recovery and wind-down planning teams.

This is a highly visible role for a lawyer who understands financial markets, clearing, broker-dealer activity, secured financing, repos, member default scenarios, and the legal and regulatory concepts that underpin resilient market infrastructure. The successful candidate will bring deep bankruptcy and insolvency expertise, strong judgment providing legal support to highly regulated financial services infrastructure, and the versatility to contribute beyond a single specialty area - including developing, drafting and submitting proposed rule change and other regulatory filings, expertly managing regulatory communications, including in examinations, issue-spotting and providing sounds legal guidance regarding clearing-related default and risk management matters, and recovery and wind-down planning.

Your Primary Responsibilities
  • Serve as a senior legal advisor on regulatory legal matters impacting DTCC's clearing agency businesses, including, for example, the risk management, bankruptcy, insolvency and default management issues impacting clearing agency participants and clearing agency recovery and wind-down planning.
  • Provide legal support to NSCC and FICC internal stakeholders, including the treasury, financial risk management and default management, compliance, on matters involving member defaults, liquidity and other financial risk management matters, clearing agency recovery and resolution planning, and related financial market infrastructure issues.
  • Advise on legal and regulatory implications of bankruptcy and insolvency scenarios involving clearing agency participants, including broker-dealers, banks, or other market participants.
  • Support recovery and wind-down planning, including legal analysis connected to default management, member failure scenarios, and market resiliency.
  • Draft, review, and advise on regulatory filings, rule changes, member communications, regulatory correspondence and examinations, and other legally sensitive communications.
  • Partner with stakeholders across Legal, Risk, Compliance, Treasury, Operations, Regulatory Relations, and business teams to provide clear, actionable guidance.
  • Monitor relevant legal, regulatory, and market developments impacting the clearing agencies, including developments related to bankruptcy, insolvency, default management and recovery and wind-down planning.
  • Support interactions with regulators, potentially including the SEC, FINRA, Federal Reserve, CFTC, and other domestic or international authorities.
  • Provide legal advice on complex business initiatives and help translate legal risks into decision-ready recommendations for senior leaders.
  • Maintain and deepen subject matter expertise in financial market structure, clearing, insolvency, and regulatory developments
  • Drive closure on complex legal issues by framing tradeoffs, decision points, mitigants, and practical paths forward
  • Handle other routine corporate legal matters, strategic projects, and ad-hoc requests, as needed.

Qualifications
  • 8-15 years experience of relevant professional legal experience at a top-tier law firm or in-house legal department; Juris Doctor required.
  • Admitted to practice law in at least one U.S. jurisdiction.
  • Significant legal experience advising on bankruptcy, insolvency, restructuring, default management, secured transactions, financial services, broker-dealer, banking, clearing, or related regulatory matters.
  • Strong financial industry experience, ideally gained at a broker-dealer, bank, asset manager, financial market infrastructure, regulator, law firm financial restructuring practice, or financial services firm that interacts with DTCC.
  • Experience with clearing, settlement, repos, securities financing, collateral, liquidity, member default, or related market structure concepts strongly preferred.
  • International or cross-border experience helpful, particularly where legal work intersects with licensing, regulatory approvals, or global market infrastructure operations.
  • Experience with regulatory filings, rule changes, regulatory communications, or regulator-facing written materials preferred.
  • Prior in-house experience at a regulated financial institution or market infrastructure organization helpful.
