Role Summary:

Reporting to the Managing Director, ISM, the Director role within Investment Structure Management (ISM) is a senior commercial structuring voice on complex deals - in the room with deal principals, shaping structure, and identifying and managing downstream implications. Directors own end-to-end structuring for CPP Investments' private investments across Credit, Private Equity, and Real Assets, and lead the team's evolution toward a proactive, advisory-led operating model powered by structured institutional knowledge. This is a unique opportunity to operate at the intersection of investment structuring and strategic advisory - influencing how CPP Investments structures complex, multi-jurisdictional deals and building the operating infrastructure that makes that work scalable. You will work with professionals from Investment Departments, Finance, Legal, Tax, and Operations, and will play a central role in shaping ISM's evolution as a recognized structuring advisory capability. This is the right role for a commercially sharp, technologically curious professional who wants to lead, not just execute.

Accountabilities & Qualifications:

Accountabilities

You will play a key role in the following areas including, but not limited to:
  • Lead end-to-end structuring and ongoing maintenance of new investments, exits, and restructurings on complex deals, which includes:
    • Work with internal partners to identify and address structuring and operational complexities of CPP Investments legal entity structures
    • Coordinate the establishment of new legal entities and address legal and governance requirements in support of CPP Investments structures in partnership with investment teams and Core Services teams
    • Own the transaction closing process - knowing every dependency, anticipating downstream implications, and driving resolution of structuring issues that would otherwise delay close. Decide how to staff and sequence workstreams on your deals to oversee the transaction closing process for investments (e.g., track deal timelines, help develop detailed plans including steps and timelines, maintain meeting minutes and assist with project management of pre-close activities amongst internal partners).
  • Lead ongoing portfolio management for CPP Investments' legal entity structures post-closing, which includes:
    • Oversee and be accountable for identifying and transferring the ongoing operational activities of wholly owned CPP Investments entities to other stakeholder teams.
    • Own quarterly reporting materials to senior management on legal entity compliance and operational risk metrics
  • Support ISM's technology roadmap delivery: own implementation of AI-enabled tools and contribute to a culture of continuous improvement and innovation around how CPP Investments manages its investment structures
  • Lead or sponsor cross-functional initiatives that advance the One Fund Strategy and ISM's mandate, including building


Qualifications
  • Undergraduate degree or college diploma in related field.
  • 8+ years of related work experience (e.g. finance, consulting, private equity, accounting firm, project management etc.)
  • A professional designation such as CFA, CA, CMA, CBV is considered an asset.
  • M&A operational experience is an asset.
  • Experience working with low code / no code workflow tools (e.g., Mendix), knowledge of programming languages such as Python and using tools like Tableau is an asset.
  • Superior analytical and problem-solving skills - ability to identify issues and determine course of action in situations with little or no precedent, analytical and holistic thinking is required.
  • Demonstrated ability to inclusively lead, inspire, and develop a diverse team of professionals.
