Director, Corporate & Securities

About the Role

Reporting to the Vice President, Corporate & Strategic Transactions and Assistant Corporate Secretary, you will be empowered to bring an innovative and solutions-oriented approach to solving complex matters critical to KBR's success. You will work closely with the Vice President, Corporate & Strategic Transactions, Corporate Secretary team and internal stakeholders across the company to provide legal advice and support on a broad range of securities, corporate, and governance matters.

About You

Accountability: You will regularly support the Board of Directors by preparing meeting materials, resolutions, minutes, and related documentation. You will lead corporate and securities regulatory compliance initiatives and partner with Investor Relations, Finance and Accounting, and Human Resources to ensure timely compliance with corporate and securities laws, NYSE requirements, executive compensation and employee benefits practices, and domestic and international subsidiary governance. You will also collaborate with Mergers & Acquisitions, New Ventures, and business groups to structure and negotiate transactions and strategic business initiatives.

Collaboration: You are comfortable working across a wide range of departments and stakeholder groups. Whether partnering with Public Relations on press releases, collaborating with Investor Relations on earnings materials, or supporting M&A transactions, you build strong relationships and serve as a trusted partner in key business decisions.

Adaptability: You thrive in a fast-paced environment and are comfortable navigating ambiguity and competing priorities. Whether supporting strategic initiatives, negotiating with external partners, or advising executive leadership and Board members, you maintain a high level of professionalism, composure, and sound judgment.

Employee Champion: You have experience managing and developing legal professionals, including attorneys and paralegals. You effectively influence across a matrixed organization and oversee the successful execution of work across teams. You also coordinate with and manage outside counsel to ensure high-quality work product and cost efficiency.

Key Responsibilities
  • Serve as a trusted advisor and business partner to executive leadership, delivering corporate and U.S. securities legal support for an NYSE-listed global company.
  • Support Board of Directors operations, including preparation of meeting materials, minutes, consents, resolutions, certificates, charters, and governance policies.
  • Ensure compliance with U.S. securities laws and NYSE requirements, including oversight of current and periodic filings, proxy statements, and Section 16 reporting.
  • Partner with business leaders to structure and negotiate transactions, investments, and strategic business initiatives.
  • Advise on securities law and corporate governance matters, including insider trading compliance, Regulation FD, SOX, and antitrust considerations.
  • Support capital markets activities, including securities offerings and preparation of related documentation.
  • Advise on corporate finance transactions, including credit facilities and public debt offerings.
  • Collaborate with the Treasury team on banking resolutions, guarantees, and other financial documentation.
  • Advise on executive compensation, employee benefits, and equity programs, including design, administration, and required disclosures.
  • Partner with Accounting and Investor Relations on earnings releases, investor communications, disclosure matters, and shareholder proposals.
  • Monitor and interpret regulatory and market developments, including changes in laws, listing standards, and corporate governance practices, and recommend appropriate actions.
  • Oversee subsidiary governance, including domestic and international structure, compliance, vendor management, and process improvements, including technology implementation.
  • Coordinate with and manage outside counsel, ensuring high-quality deliverables and effective cost management.
  • Lead, mentor, and develop corporate and securities legal team members, including paraprofessionals.
  • Support additional initiatives and special projects as assigned by the General Counsel or Vice President, Corporate & Strategic Transactions.


Basic Qualifications

Education & Experience:
  • Juris Doctorate from an accredited law school and active admission to a State Bar
  • 10+ years of relevant experience, including at a U.S. federal agency, national law firm, and/or in-house at a publicly traded company
  • International experience preferred

The ideal candidate will be located in the greater Houston, TX or Washington D.C.-Baltimore area.
