About the Role:

Hello Heart is looking for a Deputy General Counsel, Product to provide pragmatic, strategic, and scalable legal guidance across our product portfolio, including our Food and Drug Administration-cleared heart monitor, mobile app, AI-powered health insights, and AI medication assistant.

Reporting into our General Counsel, you will partner closely with Product, Engineering, Clinical, Data Science, Sale, Client Support and Compliance teams to navigate complex regulatory requirements, shape product features, support commercial transactions, particularly complex partner agreements, data use/data-sharing agreements, and support responsible AI development. You will also help address emerging legal needs as Hello Heart continues to grow.
Responsibilities:
  • Lead negotiation of customer-facing contractual provisions relating to data rights, AI and machine learning usage, product functionality, and operational restrictions, and advise on the development of terms of service, disclosures, disclaimers, and other legal protections designed to support business objectives and mitigate litigation and enforcement risk.
  • Advise on collaborative practice agreement requirements, management services organization regulatory structure and compliance, and fee-splitting and corporate practice of medicine restrictions applicable to Hello Heart's operations.
  • Partner with Compliance to Provide legal guidance on data privacy, Health Insurance Portability and Accountability Act, consumer protection, and related risks associated with product design and operations.
  • Partner with Sales and Client Support teams on commercial matters, including drafting, reviewing, and negotiating customer agreements, amendments, and statements of work, and other customer-facing contractual arrangements, with a particular focus on supporting the Health Plan Sales Group. Review existing agreements to respond to internal stakeholder inquiries regarding data usage rights, data ownership, and related contractual obligations.
  • Own and maintain terms of service and other member-facing terms, disclosures, and legal documentation, and advise on product liability risk associated with Hello Heart's products and services.
  • Partner with Security and Compliance to support responsible AI governance initiatives, including review of customer-specific requirements, contractual commitments, transparency obligations, and escalation of legal issues that may require modifications to AI functionality, data use practices, or product operations.,
  • Partner with the Compliance and Clinical teams on legal issues related to telehealth services, pharmacy review, and health information exchange data including contract interpretation, liability analysis, legal risk assessment, negotiation of health information exchange and related agreements, and drafting of state-specific consent language, disclosures, disclaimers, notices, and other user-facing legal documentation.
  • Provide strategic legal guidance on intellectual property matters, including patent portfolio management, trade secret protection, open-source software compliance, and IP-related provisions in commercial and partnership agreements.
  • Monitor relevant industry trends, emerging case law, enforcement actions, and litigation developments , including those related to AI and machine learning in healthcare, Food and Drug Administration requirements, telehealth, Medicare, Medicare Advantage, Medicaid, digital health intellectual property, and data rights.
  • Advise on legal risks, contractual considerations, enforcement trends, and customer obligations specific to health plan customer relationships, including Medicare Advantage, Medicaid managed care, and ACA marketplace plan requirements that affect contract terms, product configuration, and service delivery.
  • Provide practical legal guidance on emerging product, regulatory enforcement, privacy, commercial, contractual, consumer protection, and healthcare-related legal risks as the company scales.
  • Collaborate with Compliance to advise Product and Engineering teams on legal implications of product features, including Food and Drug Administration regulated products, AI and machine learning-driven health insight functionality, consumer protection considerations, contractual obligations, and litigation risk associated with product decisions.
  • Advise on Federal Acquisition Regulation and Defense Federal Acquisition Regulation Supplement compliance for government contracts, including review and negotiation of government contract terms and mandatory flow-down provisions.
Qualifications:
  • Strong AI fluency, with the ability to use AI tools and agent-based workflows to improve legal research, risk assessment, drafting, process design, and cross-functional execution.
  • 15+ years of legal experience in healthcare, digital health, or health technology, with experience leading teams or workstreams focused on product counseling, commercial transactions and litigation and enforcement risk related to compliance.
  • Experience advising on product development, regulatory submissions, technology-related legal matters, and consumer-facing product disclosures, terms of service, and risk mitigation strategies of varying complexity.
  • Experience with Food and Drug Administration-regulated software, Software as a Medical Device, or digital health products strongly preferred.m
  • Familiarity with AI and machine learning governance frameworks, responsible AI principles, healthcare AI regulation, and contractual commitments and negotiations related to AI functionality, data use, and customer-specific requirements.
  • Significant experience advising on legal issues arising from digital health products , including matters involving the Health Insurance Portability and Accountability Act, Food and Drug Administration software, AI and machine learning technologies, Federal Trade Commission health data enforcement, Medicare, Medicare Advantage, and Medicaid managed care contracting, corporate practice of medicine PC structures, data rights, consumer protection, and healthcare-related litigation and enforcement risk.
  • Experience drafting and advising on terms of service, disclosures, disclaimers, consent language, notices, and other consumer-facing legal documentation in regulated healthcare or technology environments.
  • Juris Doctor from an accredited United States law school and active license in good standing with a state bar.
  • Growth-minded and able to quickly absorb new information, internalize feedback, and apply sound judgment in evolving regulatory environments.
  • Excellent written and verbal communication skills, with the ability to provide clear, practical guidance in a distributed environment and work collaboratively with Compliance, Privacy, Security, Product, and Commercial stakeholders to align legal, regulatory, and business considerations in support of company objectives.
  • Experience negotiating and structuring agreements with health plans, including managed care organizations, Medicare Advantage plans, or Medicaid managed care plans, strongly preferred.
  • Law firm experience or in-house experience at a health technology or digital health company preferred.

The US base salary range for this full-time position is $275,000.00 to $295,000.00. Salary ranges are determined by role and level. Compensation is determined by additional factors, including job-related skills, experience, and relevant education or training.
