This role will be located at Discovery Land Company's Corporate Office in Beverly Hills, California.

Discovery Land Company is seeking a full-time, year-round Corporate Transactional Attorney to join the Legal Department.

Job Summary:

Discovery Land Company is seeking a highly skilled Corporate Transactional Attorney with experience in corporate and real estate transactions, including joint ventures, acquisitions, recapitalizations, and financings.. This role requires a strategic legal professional with extensive experience in corporate law and a keen understanding of real estate and development transactions and corporate governance. The ideal candidate will have 3-5 years of experience specializing in transactional work, with a strong background in conducting diligence, drafting, contract negotiation, and deal "quarterbacking" within a law firm environment.

The attorney will work closely with the executive team, providing legal support for the company's growth and expansion initiatives.

Duties & Responsibilities:
  • Transactions: Lead and manage legal aspects of corporate and real estate transactions, including acquisitions joint ventures, financings, and investment vehicles.
  • Due Diligence: Conduct and oversee legal due diligence in connection with corporate and real estate transactions, identifying potential risks and liabilities.
  • Contract Drafting & Negotiation: Draft, review, and negotiate complex transactional documents, including purchase and sale agreements and attendant closing documents, joint venture agreements/shareholder agreements, management agreements and other operating agreements and corporate contracts.
  • Risk Management: Identify legal risks associated with corporate transactions and develop strategies and processes to mitigate those risks, ensuring the protection of the company's interests.
  • Transactional Support: Collaborate with internal teams including day-to-day work with the finance/tax, acquisitions, contracts/membership sales teams, external counsel, and stakeholders to facilitate smooth and efficient deal structuring and transaction processes.
  • Regulatory Compliance: Ensure that all corporate transactions comply with local, state, and federal regulations (including data privacy and reporting obligations in various jurisdictions), as well as internal policies and procedures.
  • Post-Acquisition Integration: Assist in the integration of new development projects into the company, including (i) collaboration with tax, accounting and finance internal stakeholders on corporate governance matters, and (ii) pre-development legal needs such as drafting and/or review of covenants, conditions and restrictions, homeowners' association documentation, and providing entitlements support.


Skills & Qualifications:
  • Juris Doctor (JD) from an accredited law school.
  • Minimum of 3+ years of hands-on experience in corporate law, with a strong focus on corporate and real estate transactions. The ideal candidate will have some experience with cross-border transactions and exposure to privacy and data security law.
  • Ability to manage multiple parallel transactions on a fast-paced high performing legal team with limited supervision.
  • Active bar membership in California or ability to obtain in house certification.
  • Strong contract drafting, negotiation, and analytical skills.
  • Ability to structure new transactions, and conduct thorough due diligence and risk assessments.
  • Excellent problem-solving skills with attention to detail.
  • Strong communication and leadership abilities, with the ability to work cross-functionally, including the ability to provide counsel and suggest workable alternatives to meet the desired goals.
  • Experience in the luxury or hospitality sector is highly desirable.
  • Flexibility and ability to pivot to new projects and desire to work in fast-paced environment.

Discovery Land Company's good faith estimate of the salary range it reasonably expects to pay for this position upon hire is $240,000-$260,000 plus bonus.

The role is 5 days/week onsite, based at our offices in Beverly Hills, CA. This position is not open to remote-based work arrangements.
