Responsibilities

  • Collaborate with Legal team on SEC filings and corporate governance policies

  • Facilitate corporate governance for subsidiary management and intercompany transactions
  • Support Insider Trading Policy and Section 16 filing requirements
  • Ensure compliance with cross-border document execution and certification
  • Engage in financing and similar transactions as required.
  • Complete additional paralegal duties and ad hoc projects with the Legal team.

Full Job Description

This role is eligible for our hybrid work model: Two days in-office.

This role is eligible to be based in either our Norwalk, CT office or our New York, NY office.

We're hiring an experienced Corporate Governance Paralegal to partner with our securities, financing, and corporate governance attorneys on high-impact matters. You'll drive key workstreams across the governance, securities law, financing, and board spaces – all as part of our Company’s mission to make it easier for everyone to experience the world. You'll interface frequently with senior executives, multiple functions, and internal and external counsel across our global organization. In this role you will get to:

  • Collaborate with the Legal team on SEC filings and keep our corporate governance policies organized and state-of-the-art.

  • Keep our board of directors and committee meeting agendas, material reviews, distributions, and administrative tasks humming along on schedule;

  • Lead records management for our board and committee materials;

  • Manage workstreams related to our board meetings and annual stockholders’ meeting;

  • Facilitate internal subsidiary management and corporate governance, including intercompany transactions, formation of subsidiaries, corporate governance filings such as statutory audits, drafting of resolutions, corporate minute books, and records management;

  • Support the team's efforts around the Company's Insider Trading Policy, Section 16 filings, and corporate delegations of authority;

  • Navigate cross-border requirements for execution and certification of various corporate documents and filings; 

  • Jump in on financing or similar transactions and projects as needed; and

  • Additional corporate paralegal responsibilities and ad hoc projects with the Legal team.

What you have:

  • Bachelor's Degree

  • 6+ years of corporate paralegal experience. Experience in a publicly traded company is strongly preferred

  • Flawless written and verbal communication abilities;

  • Self-starter mentality that will look for ways to add value and ease administrative friction. 

  • Detailed knowledge of the legal department, as well as a general understanding of the Company operations, organization, and procedures

  • Attention to detail

  • Demonstrated experience with SEC filing requirements, including Section 16 filings and the annual proxy process

  • Advanced knowledge of corporate secretarial functions, including drafting board resolutions, maintaining minute books, and managing domestic/international subsidiary compliance.

  • Experience with SEC filing and board management tools

  • Knowledge of the Google Suite is a plus

There are a variety of job related factors that go into determining a salary range, including but not limited to external market benchmark data, geographic location, and years of experience sought/required. In addition to a competitive base salary, roles are eligible to be considered for an annual bonus and equity grant.

The base salary range for Connecticut and the NYC-metro area is $107,700-$131,700.
