Job Description

Responsible for the management of M&A transactions activity including valuation, due diligence, analysis, deal structuring, and presentation. Manages critical aspects of the transaction process for potential mergers and acquisitions, minority investments and joint ventures. Develops in-depth analysis of economic, industry, customer, competitor, and financial data to prepare summaries on potential acquisitions. Substantial work, collaboration and presentation interaction with the UL Solutions senior leadership team, including Customer Operating Unit, Segment and Corporate Function leaders.

Responsibilities

  • Supports business leaders in the identification of acquisition targets through the analysis of customers, products, markets, geographies, issues, and competitors. Ensures acquisition opportunities are aligned to corporate strategic objectives.
  • Manages the development of financial projections for acquisition targets. Performs discounted cash flow analysis to determine valuations. Capable of performing other valuation / returns analysis including (i) comparable company and precedent transaction analysis, (ii) accretion/dilution analysis and (iii) return on invested capital.
  • Analyzes acquisition targets' revenue and cost trends for the due diligence process.
  • Develops evaluation criteria to analyze the costs and synergies of potential acquisition opportunities.
  • Manages the due diligence process for acquisitions, coordinating activities across multiple workstreams and integrating the findings from Legal, Finance, Accounting, Tax, Human Resources, and Operations into final analysis and deal evaluation.
  • Assist with the preparation of presentations that support the approval of acquisitions by the UL Solutions executive leadership team and the Board of Directors.
  • Reads and follows the UL Solutions Code of Conduct, and follows all physical and digital security practices.

Qualifications

  • University degree (Equivalent to a Bachelor's degree) in Finance, Accounting, Economics or Business Administration plus generally six to eight year's professional level experience in corporate development, investment banking, private equity or a mergers and acquisitions function in a corporate environment.
  • Advanced degree and/or CPA.
  • Global M&A experience a plus.
  • Ability to execute all phases of a transaction.
  • Ability to interpret financial statements and analyze historical performance for possible M&A opportunities.
  • Ability to independently develop financial projections for Income Statements, Balance Sheets and Cash Flow Statements.
  • Ability to analyze and interpret a wide variety of materials including financial reports, technical reports and legal documents.
  • Ability to gather and interpret complex information from diverse sources in a wide variety of forms. Ability to identify issues, collect data, establish facts, and present conclusions in situations where few decisions-making guidelines exist.

This is a hybrid role based out of our Northbrook or Chicago office

What we offer:
  • Total Rewards: We understand compensation is an important factor as you consider the next step in your career . The estimated salary range for this position is $145,000 to $155,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).
