Job Description

UL Solutions is seeking a practical, business-minded Counsel to support the company's sourcing and sales teams. This attorney will partner closely with sourcing and sales and other stakeholders (e.g., Finance, Operations, Marketing, HR) to lead and execute inbound commercial sourcing transactions (e.g., supplier or subcontracting arrangements, procurement of laboratory services, contingent workforce and staffing solutions, marketing services, finance and advisory services, consulting and professional services, and other vendor relationships), as well as outbound sales agreements with UL Solutions' customers.

This is a hybrid position requiring three days per week in a UL Solutions office in the United States. The preferred location is Northbrook, IL or Chicago, IL.

Responsibilities

Commercial Sourcing Transactions
  • Lead the drafting, review, and negotiation of a broad range of vendor and supplier agreements, including MSAs, professional services and consulting agreements, subcontractor agreements, purchase terms, NDAs, amendments, renewals, and related documents.
  • Provide primary legal support for sourcing categories such as laboratory services, subcontracting, contingent workforce and staffing programs, marketing services, finance and advisory services, and other commercial supplier relationships.
  • Advise on and negotiate key commercial terms including pricing, payment terms, deliverables, acceptance criteria, renewals, termination rights, audit rights, warranties, indemnities, limitations of liability, and dispute resolution.
  • Counsel business stakeholders on best practices for developing clear, enforceable SOWs, including defining scope, milestones, deliverables, measurable performance standards, and change control mechanisms.
  • Ensure vendor agreements include workable governance constructs such as roles and responsibilities, escalation paths, reporting cadence, and decision rights so contracts function effectively during execution.


Sales Transactions
  • Draft, review, and negotiate customer-facing agreements, including master services agreements, statements of work, NDAs, and order forms.
  • Advise sales teams and business leaders on contract positions and risk allocation (e.g., liability, indemnities, etc.).


Templates, Playbooks, Training & Process Improvement
  • Draft, maintain, and continuously improve contract templates, clause libraries, playbooks, and fallback positions.
  • Partner with sourcing to implement policies and processes that improve efficiency, consistency, and risk management across sourcing cycles.
  • Develop and deliver training to internal business stakeholders on contracting best practices and negotiation approaches.


Qualifications

  • Experience partnering cross-functionally with procurement, finance, operations, marketing, HR, and other business teams.
  • Strong drafting, negotiation, communication, and project management skills.

Preferred
  • Experience supporting global sourcing activity and coordinating with local counsel or regional stakeholders.
  • Experience with SOW-driven services engagements and related governance and change management practices.
  • Experience supporting contingent workforce or staffing programs, including familiarity with co-employment and joint-employer risk considerations.
  • Experience building templates and playbooks and improving procurement contracting processes.
  • Experience using or developing AI tools (such as Microsoft Copilot) to drive efficiencies and improve deliverables.
  • Experience using or driving improvements in contract lifecycle management tools (such as Ironclad CLM).


Total Rewards:

We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $170,000 - $190,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).
